Governance Explanations

Form 990, Part VI, Section B, Line 11B

The chief executive officer, chief financial officer and finance committee of the board of directors ensure the submission of irs form 990 after they have carefully reviewed it. In addition, the return is made available to the full board upon request.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy requires that officers and directors disclose any interests that could give rise to conflicts. Annually and at the time board members are elected to their positions, there is a review for any potential conflict of interest issues.

Form 990, Part VI, Section B, Line 15

The organization determines the compensation of the chief executive officer and key employees independently by comparing proposed compensation to the "salary & benefits survey of greater kansas city 2017-2018 regional nonprofit organizations & associations". In addition, the executive committee of the board of directors performs an independent review of the performance evaluations for the ceo and key employees. This independent review is documented in the executive committee minutes.

Form 990, Part VI, Section C, Line 19

The organization provides the form 990, governing documents, conflict of interest policy and financial statements to the public upon request.

Supplemental Narrative

Additional Explanations

FORM 990, PART XII, QUESTION 2C:

The process for overseeing the audit and selection of an independent accountant is performed by the audit committee of the board of directors. The audit committee reviews recommendations of the independent accountant and management's response to those recommendations.

Financial Statement Notes

PART V, LINE 4:

Income from all funds, less administrative fees, is designated by the board of directors to support operations. The chief financial officer notifies the finance committee if/when the available funds are needed to support operations and then the funds are requested from truman heartland community foundation.

PART X, LINE 2:

The organization qualifies as tax exempt from federal income taxes under section 501(c)(3) of the internal revenue code. The organization recognizes the financial statement benefit of a tax position only after determining that the relevant tax authority would more likely than not sustain the position following an audit. For tax positions meeting the more-likely-than-not threshold, the amount recognized in the financial statements is the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement with the relevant tax authority. No reserve for uncertain tax positions has been recorded in the accompanying financial statements. The organization is subject to income tax regulations in the u.s. Federal jurisdiction and certain state jurisdictions. Tax regulations within each jurisdiction are subject to the interpretation of the related tax laws and regulations and require significant judgment to apply. With few exceptions, the organization is no longer subject to income tax examinations by the applicable tax authorities for the years before 2015. If any were to be incurred, the organization's policy is to record penalties and interest assessed by income tax authorities as operating expenses.
