Kevin prine, president and ceo, tim connealy, treasurer, shelley scherer, chair, and dan stifter, vice-chair, have a business relationship where they are also the officers and board members of sustainable good building design, a related tax exempt entity.

Form 990, Part VI, Section A, Line 6

The corporation has seven (7) members which are called the "corporate body" made up of the following - (a) the three (3) members of the first presidency of the community of christ, (b) the three (3) members of the presiding bishopric of the community of christ, and (c) the president of the council of twelve apostles of the community of christ.

Form 990, Part VI, Section A, Line 7A

The corporate body may by majority elect up to nine (9) directors, constituting a majority of the filing organization's governing body. Currently, there is only 1 director on the board that is affiliated with community of christ (scott murphy).

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The president & ceo and cfo carefully examine the form 990 draft and discuss it with the chair of the business affairs committee of the board. The final form 990 is provided to the full board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The president & ceo and the board chair monitor compliance to assure that board members and staff are free from conflicts of interest. If a conflict of interest is discovered, it must be disclosed before any transaction is consummated. It is the continuing responsibility of board, officers, and management employees to scrutinize their transactions and outside business interests and relationships for potential conflicts and to immediately make such disclosures. Disclosure in the organization should be made to the president & ceo (or if she or he is the one with the conflict, then to the board chair), who shall determine whether a conflict exits and is material. If the matters are material, the president & ceo will bring them to the attention of the board chair. Disclosure involving directors should be made to the board chair, who shall bring these matters, if material, to the board. The board makes the final determination whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to outreach international. The decision of the board on these matters will rest in their sole discretion, and their concern must be the welfare of outreach international and the advancement of its purpose. Transactions with related parties may be undertaken only if all of the following are observed: 1) a material transaction is fully disclosed in the audited financial statements of the organization; 2) the related party is excluded from the discussion and approval of such transaction; 3) a competitive bid or comparable valuation exists; and 4) the organization's board has acted upon and demonstrated that the transaction is in the best interest of the organization.

In harmony with the board's compensation policy, the board considers a report on performance of the ceo and other officers and uses industry standards which are based on salary surveys.
