Pt VI, Line 12C

The Conflict of Interest and Documentation policy applies to all directors, officers and any other person who is in a positions to exercise substantial influence over the decisions and affairs of the corporation. The covered persons will complete and sign a disclosure statement annually. An interested person must disclose the existence of his or her position or financial interest as soon as the person has knowledge of an intrest or whenever requested by the board. After disclosure of a position or financial interest the Board will determine whether a conflict of interest exists. If the Board determines that the position or financial interest rises to the level of conflict of interest, the Board will take the necessary steps to resolve or manange the conflict of interest.
