The executive director and the executive committee reviews and approves the 990. The 990 is presented with the audit report to the full board of directors.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The conflict of interest and documentation policy applies to all directors, officers and any other person who is in a position to exercise substantial influence over the decisions and affairs of the corporation. The covered persons will complete and sign a disclosure statement annually. An interested person must disclose the existence of his or her position or financial interest as soon as the person has knowledge of an interest or whenever requested by the board. After disclosure of a position or financial interest the board will determine whether a conflict of interest exists. If the board determines that the position or financial interest rises to the level of conflict of interest, the board will take the necessary steps to resolve or manage the conflict of interest.

Part X : FIN48 Footnote

The Council accounts for uncertain tax positions in accordance with the provisions of FASB Codification topic Income Taxes. Income Taxes clarifies the accounting for uncertainty in income taxes and requires the Council to recognize in the financial statements the impact of a tax position taken or expected to be taken in a tax return, if that position is more likely than not to be sustained under audit, based on the technical merits of the position Management has assessed the tax position of the Council and determined that no positions exist that reqire adjustment or disclosures in the financial statements.
