Governance Explanations

The form 990 is prepared by an independent accounting firm and reviewed by the president, controller, audit committee chairman, and the finance committee before it is filed. A copy of the form 990 is emailed to all board members before it is filed.

Form 990, Part VI, Section B, Line 12C

Conflict of interest forms are received from every staff and board member. All forms are reviewed annually by the president's assistant, and any conflict that is disclosed by any staff or board member is shared with the president and audit committee chairman. Any transaction financially benefitting a staff or board member is reviewed for irregularities or possible conflict. If a conflict is determined, the individual with a conflict is prohibited to participate in deliberations and decisions regarding the transaction along with possible termination of the transaction.

Form 990, Part VI, Section B, Line 15

The compensation for the president, the top management position, is determined by the executive committee which is made up of 12 members of the board of directors. None of the members of this committee have any conflict of interest regarding the compensation arrangement. Equi-comp ranges, which account for local labor costs and competitiveness with similar sized jobs and industry, are provided by ja usa. This information is used by the committee to determine compensation. The minutes to the executive committee meeting note that an executive session was held in which compensation was discussed. The determined amount of the president compensation will be presented in writing. The president then sets all of the other salaries based on the equi-comp ranges and executive committee input.
