Members of the governing body who are in conflict recuse themselves for discussion and voting on the matter in conflict, and any conflicts are noted in the board minutes. Board members are allowed and encouraged to participate as sponsors of foundation events and these transactions are evaluated under the conflict of interest policy to ensure the terms are the same as those at arms length.”
