Governance Explanations

Form 990, Part VI, Section A, Line 7A

The foundation's bylaws provide that the members of the board of directors are appointed by and may be removed by the board of directors of the national systems contractors association, the supported organization.

Form 990, Part VI, Section A, Line 7B

The foundation's bylaws provide that the alteration, amendment, repeal, or new bylaws approved by the foundation's board of directors are subject to the approval of the board of directors of the national systems contractors association, the supported organization.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The executive director and independent cfo will review a draft of the form 990, and then a copy will be provided to the entire board of directors prior to the return being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to all board members. To comply with the policy the foundation continually monitors for potential conflicts on an ongoing basis. Potential conflicts are evaluated by the executive director and if a conflict were to arise the transaction would be evaluated to ensure no individual or entity received a personal or excess benefit. Members of the governing body who are in conflict recuse themselves for discussion and voting on the matter in conflict, and any conflicts are noted in the board minutes. Board members are allowed and encouraged to participate as sponsors of foundation events and these transactions are evaluated under the conflict of interest policy to ensure the terms are the same as those at arms length.

Form 990, Part VI, Section B, Line 15

The foundation does not have any paid employees and therefore does not have a formal compensation policy at this time.

Form 990, Part VI, Section C, Line 19

The foundation makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
