Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee has the authority of the board in the management of corporate business in the interval between meetings of the board and these actionas are subject to ratification by the board at its next meeting. The executive committee's authority does not extend to certain decisions having to do with changes in the articles of incorporation, the board itself, the bylaws and other non-routine matters.

Form 990, Part VI, Section B, Line 11B

The executive director and board treasurer will initially review the form 990 and discuss any questions with the independent accounting firm who was hired to prepare the return. The return will then be reviewed by the finance committee and the entire board of directors for their review and questions prior to the return being filed.

Form 990, Part VI, Section B, Line 12C

Disclosure should be timely made. Transactions with related parties may be undertaken only if all of the following are observed: 1. A material transaction is fully disclosed in the audited financial statements of the organization; 2. The related party is excluded from the discussion and approval of such transaction; 3. A competitive bid or comparable valuation exists; and 4. The organization's board has acted upon and demonstrated that the transaction is in the best interest of the organization. Staff disclosures should be made to the executive director (or if he or she is the one with the conflict, then to the board), who shall determine whether a conflict exists and is material, and if the matters are material. Disclosure involving directors should be made to the board officers. The remainder of the board without a potential conflict shall determine whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to willis dady. The decision of the board on these matters will rest in their sole discretion, and their concern must be the welfare of willis dady and the advancement of its purpose.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of directors conducts preliminary discussions and makes a recommendation to the board. The executive committee's recommendation is deliberated by the board. The board makes and approves the final decision at the december board meeting. The executive director will be excused from the meeting while the executive director's compensation is being discussed and voted on. The end of 2015 for compensation received in 2016, was the most recent year in which the process included review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision. Form 990, part vi, section b, line 15b: no other employees meet the definition of officer or key employee. If there were, the same compensation review process would be completed for these positions as for the executive director.

TWO SHELTER BEDS ARE RESERVED FOR CLIENTS DISCHARGING FROM LOCAL HOSPITALS. CLIENTS STAY FOR UP TO 30 DAYS, THOUGH MANY FIND HOUSING SOONER. WE PROVIDE LAUNDRY AND SHOWER FACILITIES, BUS TICKETS, HYGIENE SUPPLIES, AND MEET OTHER BASIC NEEDS. ALL CLIENTS RECEIVE CASE MANAGEMENT, WHICH HELPS IDENTIFY PERSONAL STRENGTHS AND HOUSING NEEDS. THE CASE MANAGER CONNECTS CLIENTS WITH LOCAL SERVICES SUCH AS JOBS, HOUSING, MENTAL HEALTH SERVICES AND CREDIT COUNSELING TO ADDRESS CLIENTS' NEEDS AND HELP THEM OBTAIN HOUSING AND STABILITY. IN 2017 WILLIS DADY SHELTERED 501 PEOPLE; 380 ADULTS AND 121 CHILDREN. WE PROVIDED A TOTAL OF 10,446 NIGHTS OF SHELTER. HOMELESS PREVENTIONOUR HOMELESS PREVENTION OUTREACH ADVOCATE PROVIDES CASE MANAGEMENT AND REFERRALS FOR HOUSEHOLDS AT IMMEDIATE RISK OF LOSING HOUSING. SUCH HOUSEHOLDS MAY FACE EVICTION, LIVE DOUBLED UP WITH RELATIVES/FRIENDS, LIVE IN A HOTEL, OR IN MANY OTHER PRECARIOUS SITUATIONS. THE PREVENTION ADVOCATE TRAVELS THROUGHOUT LINN COUNTY TO HELP HOUSEHOLDS ACCESS SERVICES SUCH AS ENERGY ASSISTANCE, CHILD CARE, AND HEALTH ASSISTANCE TO SUPPLEMENT INCOME AND MAINTAIN HOUSING. IN 2017 WE SERVED 759 INDIVIDUALS AND 345 HOUSEHOLDS IN LINN COUNTY. OVER 95% OF THE HOUSEHOLDS SERVED BY OUR ADVOCATE WERE SUCCESSFULLY DIVERTED FROM SHELTER. SERVICES FOR HOMELESS VETERANSWILLIS DADY PARTNERS WITH HACAP ON THE OPERATION HOME PROGRAM, ALSO KNOWN AS SUPPORTIVE SERVICES FOR VETERAN FAMILIES (SSVF). WE EMPLOYED TWO CASE MANAGERS AND ONE OUTREACH WORKER, WHO TRAVEL THROUGHOUT SEVEN COUNTIES TO SERVE HOMELESS VETERANS. THESE STAFF USE CASE MANAGEMENT, REFERRALS, AND REHOUSING FUNDS TO FOCUS ON IMMEDIATE HOUSING AND HELP THE VETERAN DEVELOP LONG-TERM HOUSING STABILITY. OUR VETERAN SERVICE STAFF HELP HOMELESS VETERANS IDENTIFY AND MOVE INTO PERMANENT HOUSING WITHIN THE COMMUNITY, AND PROVIDE 3 6 MONTHS OF WRAP-AROUND CASE MANAGEMENT. THE SERVICES PROVIDED UNDER OUR CONTRACT WITH HACAP FOR THIS PROGRAM ENDED ON SEPTEMBER 30, 2017.
