Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by the corporation's treasurer. The treasurer then submits it to the finance committee for review. All board members are provided with an electronic draft of the form 990 prior to filing. The treasurer reports the completion and filing of the form 990 at the next board meeting.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all employees and board members serving the organization. The organization regularly monitors and enforces the conflict of interest policy by annually requesting a written listing of any potential conflicts to be provided by each board member, officer, director or key employee. A copy of the policy is also included in the board orientation materials and the staff handbook. Actual or potential conflicts are required to be reported to the board president as they arise. The board president shall then make the determination as to whether a conflict exists. Persons with a conflict of interest are prohibited from participating in the deliberations and decisions of the board of trustees for the related transaction. Knowingly violating the conflict of interest and appearance of impropriety policy may result in termination from the board of trustees.

Form 990, Part VI, Section B, Line 15A

The compensation of the ceo correlates to performance and successful completion, or lack thereof, of goals established at the beginning of the fiscal year. The organization's president and executive committee review performance with the ceo at the end of the year and make compensation decisions on behalf of the board of trustees. The executive committee of the board of trustees reviews the performance of the ceo annually and approves any changes to compensation for the position. Compensation is reviewed for reasonableness using comparable data from available wage surveys published by state, county and local agencies. Deliberations and decisions of the executive committee are recorded in the meeting minutes as well as a signed document for payroll processing records. The process of reviewing compensation for the ceo was last conducted in january 2025.

Form 990, Part VI, Section C, Line 19

Brucemore makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

FIRST, THE ORGANIZATION PRESERVES THE IRREPLACEABLE HISTORIC RESOURCES IN ITS CARE TO ENSURE THEY PROVIDE A CONNECTION TO THE PAST. THESE ASSETS INCLUDE AN 1886 MANSION; A SERIES OF SUPPORT BUILDINGS BUILT BEFORE 1915; A 26-ACRE LANDSCAPE DESIGNED BY RENOWNED ARCHITECT O.C. SIMONDS; AND THOUSANDS OF ARTIFACTS. SECOND, THE ORGANIZATION CREATES AND PROVIDES HERITAGE PROGRAMS CENTERED AROUND THE SIGNIFICANCE OF THE SITE AND ITS COLLECTION BASED ON THE PRINCIPLE THAT UNDERSTANDING CONTEMPORARY ISSUES REQUIRES A BROAD UNDERSTANDING OF OUR SHARED HISTORY. THIRD, THE ORGANIZATION ACTS AS AN ARTS AND CULTURE DRIVER BY PRODUCING, PARTNERING, AND PRESENTING THEATER, CONCERTS, AND OTHER COMMUNITY EVENTS AGAINST THE SETTING OF THE ICONIC, HISTORIC ESTATE. FOURTH, BRUCEMORE AIMS TO INCREASE PARTICIPATION AND IMPACT BY EXPANDING ONLINE CONTENT THAT REACHES VISITORS UNABLE TO VISIT THE PHYSICAL SITE OR WHO BELIEVE A HISTORIC SITE IS NOT FOR THEM, TO PROVIDE A GREATER DEPTH OF CONNECTION, AND TO BUILD ON THE WAYS THAT UNDERSERVED ARTISTS CAN BE SUPPORTED IN THEIR JOURNEY.
