Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by the corporation's treasurer. The treasurer then submits it to the finance committee for review. All board members are provided with an electronic draft of the form 990 prior to filing. The treasurer reports the completion and filing of the form 990 at the next board meeting.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all employees and board members serving the organization. The organization regularly monitors and enforces the conflict of interest policy by annually requesting a written listing of any potential conflicts to be provided by each board member, officer, director or key employee. A copy of the policy is also included in the board orientation materials and the staff handbook. Actual or potential conflicts are required to be reported to the board president as they arise. The board president shall then make the determination as to whether a conflict exists. Persons with a conflict of interest are prohibited from participating in the deliberations and decisions of the board of trustees for the related transaction. Knowingly violating the conflict of interest and appearance of impropriety policy may result in termination from the board of trustees.

Form 990, Part VI, Section B, Line 15A

The compensation of the executive director correlates to performance and successful completion, or lack thereof, of goals established at the beginning of the fiscal year. The organization's president and executive committee review performance with the executive director at the end of the year and make compensation decisions on behalf of the board of trustees. The executive committee of the board of trustees reviews the performance of the executive director annually and approves any changes to compensation for the position. Compensation is reviewed for reasonableness using comparable data from available wage surveys published by state, county and local agencies. Deliberations and decisions of the executive committee are recorded in the meeting minutes as well as a signed document for payroll processing records. The process of reviewing compensation for the executive director was last conducted in early 2019 as no changes to compensation were made in 2020 due to the economic conditions related to the global pandemic outbreak.

Financial Statement Notes

PART III, LINE 1A:

The corporation's collections, which have been donated to or acquired by brucemore, inc. Since 1981, are not recognized as assets on the statement of financial position. Collection expenses and collection items purchased are recorded as decreases in unrestricted net assets in the year in which the items are acquired, or as temporarily or permanently restricted net assets if the assets used to purchase the items are restricted by donors. Contributed collection items are not reflected on the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset class.

PART III, LINE 4:

The corporation's collections and works of art are made up of various artifacts, including furniture, paintings, photographs, decorative art, books, and other objects of historical significance.

PART V, LINE 4:

The corporation's endowment was established to support capital, programming, and the general operating needs of the corporation.

PART X, LINE 2:

The corporation is exempt from income taxes under section 501(c)(3) of the internal revenue code and a similar section of the iowa income tax law, which provides income tax exemption for corporations organized and operated exclusively for religious, charitable, or educational purposes. The internal revenue service has not classified the corporation as a private foundation. The corporation files information returns in the u.s. Federal jurisdiction. The corporation follows the accounting standard for evaluating uncertain tax positions and has determined that it was not required to record a liability related to uncertain tax positions.

IN 2019, BRUCEMORE BEGAN THE PUBLIC PHASE OF ITS FIRST CAPITAL CAMPAIGN, PRIDE & PRESERVATION, TO FUND ONGOING PRESERVATION OF THE HISTORIC ESTATE. DURING THE YEAR, PRESERVATION WORK CONTINUED ON THE MANSION ENVELOPE RESTORATION PROJECT. PHASE 2, WHICH FOCUSED ON THE FLAT ROOF SECTION AND FENESTRATION IN THE SOUTH FACADE OF THE HISTORIC MANSION, WAS COMPLETED. THE WORK IN THIS PHASE INCLUDED REPLACING THE FLAT, METAL SECTION OF THE MANSION ROOF AND RESTORING SOUTH FACING WINDOWS AND DOORS ALONG WITH THE SURROUNDS, INVOLVING WOOD, STONE, METAL AND GLASS. THIS YEAR, BRUCEMORE HOSTED OVER 27,000 VISITORS WHO ATTENDED THEATRE AND MUSICAL EVENTS, GARDEN AND LANDSCAPE BASED PROGRAMS, SEASONAL CELEBRATIONS, AND TOOK PART IN A MENU OF INTERPRETIVE TOURS. BRUCEMORE ALSO OPERATES A MUSEUM STORE FEATURING ITEMS THAT REFLECT THE MISSION OF THE ORGANIZATION AND HISTORY OF THE ESTATE.
