Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and then reviewed by the corporation's treasurer. The treasurer then submits it to the finance committee for review. All board members are provided with an electronic draft of the form 990 prior to filing. The treasurer reports the completion and filing of the form 990 at the next board meeting.

Form 990, Part VI, Section B, Line 12C

The corporation annually enforces the conflict of interest policy by requiring a written listing of potential conflicts to be provided by each board member each year. Actual or potential conflicts are required to be reported to the board president as they arise. The board president shall then make the determination as to whether a conflict exists. Knowingly violating the conflict of interest and appearance of impropriety policy may result in termination from the board of trustees at brucemore.

The compensation of the executive director correlates to performance and successful completion, or lack thereof, of goals established at the beginning of the fiscal year. The corporation president and executive committee reviews performance with the director at the end of the fiscal year and makes compensation decisions on behalf of the board of directors. The corporation's collections, which have been donated to or acquired by the corporation since 1981, are not recognized as assets on the statement of financial position. Collection expenses and collection items purchased are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired, or as net assets with donor restrictions if the assets used to purchase the items are restricted by donors. Contributed collection items are not reflected on the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset class.

The corporation's collections and works of art are made up of various artifacts, including furniture, paintings, photographs, decorative art, books, and other objects of historical significance.

The corporation's endowment was established to support capital, programming, and the general operating needs of the corporation.

The corporation is exempt from income taxes under section 501(c)(3) of the internal revenue code and a similar section of the iowa income tax law, which provides income tax exemption for corporations organized and operated exclusively for religious, charitable, or educational purposes. The internal revenue service has not classified the corporation as a private foundation. The corporation files information returns in the u.s. Federal jurisdiction. The corporation follows the accounting standard for evaluating uncertain tax positions and has determined that it was not required to record a liability related to uncertain tax positions.

ITS MISSION: TO ENGAGE THE PUBLIC IN THE HISTORY, TRADITIONS, RESOURCES AND ON-GOING PRESERVATION OF BRUCEMORE FOR THE ENRICHMENT OF THE COMMUNITY. WHILE THE SITE MIRRORS A CENTURY OF CEDAR RAPIDS HISTORY, BRUCEMORE IS SIMULTANEOUSLY AN ONGOING CELEBRATION OF THE REGION'S HERITAGE AND CONTEMPORARY CULTURAL COMMUNITY. IN 2018, BRUCEMORE BEGAN THE QUIET PHASE OF ITS FIRST CAPITAL CAMPAIGN, PRIDE & PRESERVATION, TO FUND ONGOING PRESERVATION OF THE HISTORIC ESTATE. DURING THE YEAR, RESTORATION OF THE 1929 SKINNER PIPE ORGAN WAS COMPLETED. PRESERVATION WORK BEGAN ON THE MANSION ENVELOPE RESTORATION PROJECT. PHASE 1, WHICH FOCUSED ON THE SERVICE PORCH OF THE HISTORIC MANSION, WAS COMPLETED. THIS YEAR, BRUCEMORE HOSTED OVER 24,500 VISITORS WHO ATTENDED THEATRE AND MUSICAL EVENTS, GARDEN AND LANDSCAPE BASED PROGRAMS, SEASONAL CELEBRATIONS, AND TOOK PART IN A MENU OF INTERPRETIVE TOURS. BRUCEMORE ALSO OPERATES A MUSEUM STORE FEATURING ITEMS THAT REFLECT THE MISSION OF THE ORGANIZATION AND HISTORY OF THE ESTATE.
