Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall be a standing committee and consist of the elected Officers of the Board, the Chair of any other standing committees, the President/CEO, and if he or she is still a Director the most immediate past Chair/CVO. The Executive Committee may exercise, when the Board of Directors is not meeting, the powers of the Board of Directors in the direction of the affairs of the Corporation, except actions with respect to election to positions of the Board of Directors, removal of Directors, employment or discharge of the President and such limitations of powers as may be provided in the Bylaws. Members of the Board of Directors shall be notified in writing of all actions of the Committee at the next Board of Directors Meeting after such Committee actions are taken. Duties of the Executive Committee shall be: 1. To conduct the affairs of the Corporation within powers conferred by the bylaws. 2. To coordinate the effective work of the Corporation through the Committees in an organized corporate planning system. 3. To appraise the job performance of the President/CEO in the context of the job description approved by the Board of Directors, and the current performance goals and objectives. 4. To clarify the Corporation's program, membership, and current financial objectives to assure that current operations are meeting the Corporations stated goals and objectives. At all meetings of the Executive Committee, a majority of its Members shall constitute a quorum for the transaction of business, and the act of the majority shall be the act of the committee. Minutes of each meeting shall be kept by the President, or such other person as the Chair/CVO may designate; and the minutes shall be made available to all members of the Board of Directors by its next regular meeting.

Form 990, Part VI, Section B, line 12C

A conflict of interest transaction is a transaction with the Corporation in which a Director of the Corporation has a direct or indirect interest. Directors shall attempt to inform the Board of Directors of any possible conflict of interest of which they become aware. When any such interest becomes a matter of Board Action, such Directors shall not vote or use personal influence on the matter, and shall not be counted in the quorum for a meeting which Board action is to be taken on the interest. The Director may, however, briefly state a position on the matter, and answer pertinent questions of Board members. A transaction in which a Director has a conflict of interest may be approved if the material facts of the transaction are disclosed to the Board of Directors members, who authorized, approved or ratified that transaction. A conflict of interest transaction may be authorized, approved, or ratified if it receives the affirmative vote of the majority of the Directors on the Board or on the committee that have no direct or indirect interest in the transaction, but a transaction may not be authorized by a single Director. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.

Form 990, Part XII, Line 1:

The Dubuque Community Y uses a modified cash basis method of accounting under the cash basis method of accounting, revenue and the related assets are recognized when received rather than when earned. Certain expenses are recognized when paid rather than when the obligation is incurred year end reporting of fixed assets, depreciation expense, capital leases, and notes payable result in the modified cash basis method of accounting.

The Dubuque Community YMCA/YWCA is organized as an Iowa nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined that it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0For over 150 years, the Dubuque Community Y has proudly served the Tri-States as one of the longest established organizations in Dubuque. Founded in 1866 above a store on Main Street, the Dubuque Y has transitioned through a variety of services and facilities. The Dubuque Y is only one of two merged YMCA and YWCA organizations in the country, offering a unique opportunity to strengthen and address the most pressing needs of our community. Our five pillars: Youth Development, Healthy Living, Social Responsibility, Eliminating Racism, and Empowering Women provide the Dubuque Y with a framework to make and sustain social change.Continued on Schedule O.The Dubuque Community Y serves over 15,000 individuals annually or about 1 in 4 in the city of Dubuque, Iowa. The Y impacts the community through early childhood child care, before and after school child care, membership, one on one and group mentoring, restorative strategies, diabetes prevention, youth, adult, and family programming, summer day camp, zip lining, and the victim services shelter. In addition, the Y employs over 250 people and offers volunteer opportunities to over 1,600 of our neighbors. Serving as the area's largest provider of licensed childcare, the Dubuque Community Y provides high-quality childcare to over 750 preschool and school-age children. We provide preschool curriculum, full day childcare, infant/toddler care and school age before and after school care. With a commitment to strengthen family, the Dubuque Community Y childcare programs relieve the burden of balancing work and family by offering full and part time options and extended care hours to serve a wide range of family needs. Doing so helps make it possible for parents of children in our care to remain gainfully employed, knowing that their children are thriving in a safe and developmentally sound environment. Tuition assistance is available for childcare services as well as assistance to families working with other social service agencies.The Dubuque Community Y Victim Services Shelter provides over 4,000 nights of safe and confidential services annually to victims and their children of domestic assault, sexual abuse and sex trafficking. All services are provided at no charge to the victim if someone is leaving an abusive relationship and is in need of a safe and confidential place to stay. The Shelter staffs a 24-hour, 7 day a week crisis and information line. For younger children, the Shelter will provide referrals to appropriate community agencies. The Shelter will help victims get connected with other community agencies to meet additional needs they may have.The Dubuque Community Y's YMCA-USA Reach and Rise mentoring programs give kids good role models to help them develop self-esteem and good values, including cooperation, respect, good citizenship, and a strong work ethic. Our Restorative Strategies program reaches over 360 children annually providing youth with life skills that will help foster self-worth, justice, equality, and confidence. Empowering youth with restorative justice strategies will help them become more aware and accepting of differences, more capable of showing empathy, better able to connect with peers and authority figures, and will help reduce bullying. Preserving nearly 100 acres of educational and recreational space at our Union Park Camp, the Dubuque Community Y camping programs provides a lasting experience of personal enrichment for our youth. Our day camps offer adventure and learning activities that provide challenge and promote spiritual awareness, mental development, physical well-being, social growth and self-respect. Campers develop self-confidence, independence, and respect for other's unique differences.As one of more than 2000 Ys across the country the Dubuque Community Y helps people reduce their risk for developing type 2 diabetes with YMCA's Diabetes Prevention Program.
