The form 990 is prepared by an independent accounting firm. It is reviewed and approved by the chief financial officer and then made available to the entire board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with board members at the time they are appointed to the board and the policy is reviewed each year at the annual meeting. If a conflict arises, the member in conflict is required to report such conflict to the president of the board at the first knowledge of the conflict. The board president and the board secretary, together with counsel are responsible for administration of the conflict of interest policy terms. Any board member who is uncertain about a possible conflict of interest in any matter may request the board to determine whether a possible conflict exists. The board shall resolve the questions by majority vote. When possible, the question of potential conflict will be referred to counsel for an opinion prior to the board's vote.

The compensation committee of the board meets annually to establish the salary of the ceo. This committee reviews comparability information from like size organizations in its deliberations, as well as level of responsibility, tenure and organizational performance metrics.
