Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is prepared by an independent accounting firm. It is reviewed and approved by the chief financial officer and then made available to the entire board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with board members at the time they are appointed to the board and the policy is reviewed each year at the annual meeting. If a conflict arises, the member in conflict is required to report such conflict to the president of the board at the first knowledge of the conflict. The board president and the board secretary, together with counsel are responsible for administration of the conflict of interest policy terms. Any board member who is uncertain about a possible conflict of interest in any matter may request the board to determine whether a possible conflict exists. The board shall resolve the questions by majority vote. When possible, the question of potential conflict will be referred to counsel for an opinion prior to the board's vote. If a conflict exists, the member in conflict shall refrain from participating in the consideration of the proposed transaction, unless the board requests specific information or interpretation. The member in conflict shall not vote on such matters and shall not be present at the time of vote or discussion.

Form 990, Part VI, Section B, Line 15A

The compensation committee of the board meets annually to establish the salary of the ceo. This committee reviews comparability information from like size organizations in its deliberations, as well as level of responsibility, tenure and organizational performance metrics. The deliberation and final decision are documented in the minutes of the compensation committee meeting(s). This process was last completed in 2016. Form 990, part vi, section b, line 15b: the organization does not have any other compensated individuals that meet the irs definition of officer or key employee.

Financial Statement Notes

PART IV, LINE 2B:

Tanager place was the fiscal agent/custodian for youthport under gaap, the necessary cash asset and offsetting custodial/fiscal agent liability was recorded on the tanager place's balance sheet. This relationship ended when youthport separated into it's own separate 501(c)(3) public charity. There are no fiscal agent/custodian relationships as of june 30, 2016.

The organization's endowments consist of various funds established to support the general operating needs of the organization.

PART X, LINE 2:

The organization is exempt from income taxes under section 501(c)(3) of the internal revenue code and a similar section of the iowa income tax law, which provides income tax exemption for corporations organized and operated exclusively for religious, charitable, or educational purposes. The internal revenue service has not determined that the organization is a private foundation. The organization files information returns with the internal revenue service annually. The organization follows the accounting standard for evaluating uncertain tax positions and has determined that it was not required to record a liability related to uncertain tax positions.
