Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is prepared by an independent accounting firm. It is reviewed and approved by the chief financial officer and then made available to the entire bod prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with board members at the time they are appointed to the board and the policy is reviewed each year at the annual meeting. If a conflict arises, the member in conflict is required to report such conflict to the president of the board at the first knowledge of the conflict. The board president and the board secretary, together with counsel are responsible for administration of the conflict of interest policy terms. Any board member who is uncertain about a possible conflict of interest in any matter may request the board to determine whether a possible conflict exists. The board shall resolve the questions by majority vote. When possible, the question of potential conflict will be referred to counsel for an opinion prior to the board's vote. If a conflict exists, the member in conflict shall refrain from participating in the consideration of the proposed transaction, unless the board requests specific information or interpretation. The member in conflict shall not vote on such matters and shall not be present at the time of vote or discussion.

The compensation committee of the board meets annually to establish the salary of the ceo. This committee reviews comparability information from like size organizations in its deliberations, as well as level of responsibility, tenure and organizational performance metrics. The deliberation and final decision are documented in the minutes of the compensation committee meeting(s). This process was last completed in 2015.

Financial Statement Notes

PART IV, LINE 2B:

Tanager place is the fiscal agent/custodian for youthport under gaap, the necessary cash asset and offsetting custodial/fiscal agent liability is recorded on tanager place's balance sheet. The form 990 balance sheet is also being reported on a gaap basis and therefore the custodial arrangement disclosures apply. Tanager place provides records of activity to youthport. Youthport is the combination of efforts from three local non-profit organizations: tanager place, boys and girls club of cedar rapids and young parents network. The program was piloted in 2012 with the goal of maximizing the strengths and resources of the organizations involved, empowering them to meet the needs of children and families in low-economic neighborhoods throughout cedar rapids. Youthport is new and still developing, this joint venture has not resulted in the creation of a formal entity. Currently youthport is considered a disregarded entity of tanager place for tax purposes, and as such the revenue and expenses have been included as part of tanager place's form 990.
