Governance Explanations

Form 990, Part VI, Section B, Line 11

The audit committee reviews the 990 and approves it. The minutes of the audit committee meeting and the 990 are included in an email to the board for the board meeting. The 990 is available to all board members who are interested in reviewing it.

Form 990, Part VI, Section B, Line 12C

Annually the full board and all of the officers of the agency fill out and sign a new conflict of interest disclosure form. At the board and management meetings, where the forms are signed, everyone in the room is asked at that time, to verbally disclose any possible conflict of interest. If at that time, any board or management member felt that a conflict existed, the full board would review, and if necessary implement any possible restrictions on the person with the conflict. The president of familymeans leaves the board room when the board is discussing her annual performance review and any possible salary adjustments. Other than this, there have been no issues brought before the board that might create a conflict of interest. All employees of familymeans sign a conflict of interest disclosure at the time of their initial employment. The hr manager and president review the disclosures to determine if any conflict does indeed exist.

Form 990, Part VI, Section B, Line 15A

Compensation for the president of familymeans is established by the board of directors, based on comparable data available from various nonprofit salary surveys. On an annual basis the board chair reviews the president's performance. A summary of this review is brought to the full board. In a closed meeting the board reviews both performance and pay. Salary adjustments, if any, are made at this time. The board chair keeps minutes of the review process. This process was most recently undertaken in march 25, 2014.

Part III, Line 4A

Mental health and family counseling familymeans is a licensed mental health community center with offices in hudson, stillwater and st. Paul. Services include outpatient assessment and counseling services to address a wide variety of mental health issues to all who request services, regardless of ability to pay. In april 2012 familymeans acquired the center for grief, loss & transition in st. Paul offering specialized outpatient services for loss, life transitions and trauma to all ages, individuals, couples, families and groups. The goal of the mental health and family counseling program is to help clients understand their problems and see ways to begin solving these problems. Individual assessment and therapy is offered to children, adolescents, and adults. Family therapy assists groups of people functioning as a family unit with issues such as communication, parenting, school or work issues, and social/emotional concerns in relationships. Group therapy is offered in both long-term and time-limited formats. Our scheduling goal is to arrange appointments within 3 weeks of an initial call for help. We offer family centered collaborative divorce services for couples choosing to make this difficult transition but wanting to stay out of court. Our school-located counseling program allows students at 25 schools in 3 minnesota and 2 wisconsin school districts to access mental health therapy without transportation, financial or scheduling concerns; children in transition groups are offered to students in elementary grades whose parents are divorcing and a mental health screening is offered to 9th graders in new richmond. In 2014, we provided counseling services to 1,162 people in our stillwater and hudson offices, 481 in st. Paul, school-based counseling served over 600 students, and collaborative divorce served 20 families.

Part III, Line 4B

Cccs consumer credit counseling service (cccs) of familymeans offers budget and credit counseling, debt management, credit report review counseling, bankruptcy counseling, and financial education to help individuals and families develop the skills needed to establish and maintain financial stability. The 90-minute session with a certified credit counselor is offered without fee and provides clients an opportunity to assess their financial situation, explore options, build a practical budgeting plan, and establish long-term goals. For some, enrollment in our debt management program allows them to repay unsecured debt in a fixed period of time while learning to budget and gain financial stability. For others, the only option is to declare bankruptcy; we provide bankruptcy counseling and education sessions to help people understand what created the problems and how to avoid them in the future. Credit report review counseling is a free service to help clients understand their credit report information and correct errors if necessary. Our financial education programs are offered to interested students and adults in a variety of settings; the goal is to teach the money management skills to eliminate or reduce problems. In 2014, we provided budget and credit counseling to 1,175 families, helped 1,849 families repay over $9 million in unsecured debt, provided bankruptcy counseling and education to 376 families, conducted 57 credit report review sessions, and conducted 418 financial education programs to 6,494 individuals of all ages.

Part III, Line 4C

Caregiver support established in 1986, the caregiver support program of familymeans provides a network of services needed by individuals in our community who are informal, unpaid caregivers. They may be caring for a child with special needs, a family member with increasing dementia, or a spouse in failing health. Long-term caregivers are at high risk for sleep deprivation, immune-system deficiency, depression, and chronic anxiety. The focus of our program is maintaining the well-being of the caregivers so they preserve their health and are able to continue providing care. We offer education, coaching, support groups, and volunteer in-home and group respite services to give the caregivers a few hours of free time. We also provide education and guidance to individuals who are exploring the possibilities of their older years, and we engage community partners to plan and act together to become a more age-friendly community. In 2014, we provided 16,282 hours of caregiver support services for 2,745 participants.

PART IV, LINE 1B:

The organization acts in a fiduciarty capacity as custodians of client funds entrusted to them. These funds are kept seperately and are segregated from operating account funds. Client funds are deposited in a seperate client deposit account in a federally insured financial institution.

PART V, LINE 4:

Familymeans has two program endowments. Through annual grants, if needed, the program endowment helps to support agency programs. The purpose of the facility fund is to pay for major repairs and maintenance to the builidng and grounds of familymeans.

PART X, LINE 2:

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the organization and various positions related to the potential sources of unrelated business taxable income (ubit). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the years ended december 31, 2014 and 2013.
