Governance Explanations

Form 990, Part VI, Section A, line 8B

Separate minutes for each committee are not kept. Any actions or recommendations by any of the committees are documented within the minutes of the Board of Directors.

Form 990, Part VI, Section B, line 11B

A draft of the 990 is e-mailed to RS EDEN management and relayed to the Finance Committee. The Finance Committee reviews and makes any recommendations prior to its signature.

Form 990, Part VI, Section B, line 12C

Members of the Board of Directors, the President and management staff are required to comply with RS EDEN's conflict of interest policy. Completion of the disclosure form is required on an annual basis. All disclosed conflicts of interest are reviewed by the company President (or by the Board of Directors if the conflict involves the President) and handled on a case by case basis. If a board member is deemed to have a conflict, they refrain from discussion and voting on the issue causing the conflict.

Form 990, Part VI, Section B, line 15A

The Board Chair or Executive Committee reviews comparable data from other non-profits and makes a recommendation to the full Board regarding the President's compensation. The full Board of Directors makes the final approval. Review of the President's compensation is handled on an annual basis. Compensation for other officers and key employees is determined by the President through the documented review process with comparable data provided by human resources staff. Review of compensation is handled on an annual basis.

Form 990, Part VI, Section C, line 19

Financial statements and governing documents are made available to the public upon request.

Form 990, Part VI, Section B, Line 16B:

RS EDEN does not have a written policy regarding its participation in tax credit limited partnerships to provide low income housing. The Board of Directors reviews all such arrangements to ensure that RS EDEN's tax-exempt status is not jeopardized.

Financial Statement Notes

Part X, Line 2:

The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
