Separate minutes for each committee are not kept. Any actions or recommendations by any of the committees are documented within the minutes of the Board of Directors.

Form 990, Part VI, Section B, line 11B

A draft of the 990 will be e-mailed to the Finance Committee and the full Board for their review prior to the board meeting. The Finance Committee will review the report in detail and make a recommendation as to its acceptance. The Board members will have an opportunity to review the report and ask questions prior to its acceptance.

Form 990, Part VI, Section B, line 12C

Members of the Board of Directors, the President and management staff are required to comply with RS EDEN's conflict of interest policy. Completion of the disclosure form is required on an annual basis. All disclosed conflicts of interest are reviewed by the company President (or by the Board of Directors if the conflict involves the President) and handled on a case by case basis. If a board member is deemed to have a conflict, they refrain from discussion and voting on the issue causing the conflict.

The Board Chair or Executive Committee reviews comparable data from other non-profits and makes a recommendation to the full Board regarding the President's compensation. The full Board of Directors makes the final approval. Review of the President's compensation is handled on an annual basis. Compensation for other officers and key employees is determined by the President through the documented review process with comparable data provided by human resources staff. Financial Statement Notes

Part X, Line 2:

The Organization is organized as a Minnesota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(viii), and has been determined not to be a private foundation under Section 509(a)(2). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization files an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS to report its unrelated business taxable income. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

RS EDEN's "affordable supportive housing" includes on-site services to assure tenants have the resources and support necessary to sustain their housing. Alliance Apartments, Portland Village, Central Avenue Apartments, Seventh Landing, Jackson Street Village, Lindquist Apartments, Emanuel Housing and Dillon Apartments are examples of RS EDEN's affordable supportive housing options. All RS EDEN supportive housing developments include on-site case management, employment assistance, sober social activities and referral assistance. Housing options for youth, single people and families are available. RS EDEN collaborates with other service providers to develop, operate and offer consultation on supportive housing services, management and development. RS EDEN provided housing for 824 tenants in 2016.

The Corrections Division holds federal, state, and county contracts to provide residential and non-residential accountability services to adult clients and some dependent minors. Ancillary services include case management, employment, housing, behavioral, mental, and physical health, as well as other transition needs. Education and support groups are available at all locations. In 2016 the residential corrections and Sentence to Service programs served 540 men and 171 women.

Residential programs include skilled nursing services. Programs for both genders have integrated community mental health professionals to provide services to clients with co-occurring behavioral problems. Additional services include family therapy through collaboration with the University of Minnesota, day care for women with children through PICA/Head Start, recovery coaching, parenting coaching, and transportation. In 2016, a total of 578 unique adult clients and their 78 children received treatment services.Food Service and Other Revenue: RS EDEN's Kitchen of Opportunities prepares and serves affordable, nutritious meals to RS EDEN's clients 365 days a year. In 2016, the Kitchen of Opportunities' staff and volunteers delivered over 157,000 meals to adults and children at risk for hunger in the Twin Cities.
