Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed and approved by the board of directors.

Form 990, Part VI, Section B, Line 12C

Each board member evaluates his/her compliance with the regard to conflicts of interest on an annual basis.

Form 990, Part VI, Section B, Line 15

The governance committee gathers and analyzes relevant salary data. The executive director completes a self-evaluation form. The board members complete an executive director evaluation form. As the great board of directors doesn't observe the executive directors behavior on a day to day basis, regular full time staff complete a confidential qualitative feedback survey to give the governance committee a broader perspective on the effectiveness of the executive director. The governance committee of the board meets to compile/review evaluation forms and put together salary and goal recommendations. The recommendation is agreed upon and signed by the executive committee members. The recommendation from the executive committee is put before the full board at a full board meeting. Motion by board members not on the governance committee and vote for approval is required. The governance committee meets with executive director to review board approved salary recommendation from the governance committee of the board.

Form 990, Part VI, Section C, Line 19

The organization makes it governing documents, policies, and finacial statements available to the public upon request.
