Many of our education programs are delivered by facilitators who are not employees of the diversity council. In addition, we occasionally need people to work on short-term projects. We have delegated the hiring and firing of these individuals to express employment professionals.

All members of the board of directors receive and review a complete electronic copy of the 990 form prior to filing. Each replies confirming receipt and review.

Form 990, Part VI, Section B, Line 12C

Each board member, employee, and volunteer of the organization who has decision-making authority annually completes a disclosure form that identifies any relationships, positions, or circumstances in which the person or a family member is involved that could contribute to a conflict of interest. Such relationships, positions, or circumstances might include employment, ownership of a business, or service as a director or consultant to another nonprofit organization. The form is updated mid-year if circumstances change prior to a board action on a contract or transaction involving a confict of interest. The board member, employee, or volunteer having a real or apparent conflict of interest discloses all facts material to the conflict. He or she must abstain from 1) participating in discussions or deliberations with respect to the subject of the conflict, other than to present factual information or to answer questions, 2) using his or her personal influence to affect deliberations, and 3) voting and being present when the vote is taken.

Compensation of the executive director is reviewed against the mn council of nonprofits salary data and comparable positions in the area. This information is compiled, reviewed, and submitted to the board with recommendation for adjustment. The board of directors considers the compensation of the executive director in the autumn months as the budget is being prepared. All board members are independent persons and the executive director is excused for the discussion. Any decision relating to the executive director's compensation is documented in the minutes of the board meeting.

CMRC HAS WORKED CLOSELY WITH THE CITY, ROCHESTER PUBLIC SCHOOLS, COUNTY, AND COUNTY PUBLIC HEALTH TO RECEIVE INFORMATION REGARDING CHANGES IN PROTOCOLS AND RECOMMENDATIONS WHILE ALSO ASKING QUESTIONS TO GAIN A BETTER UNDERSTANDING OF DETAILS SUCH AS TRACKING THE NUMBER OF CASES, UNDERSTANDING CHANGES WITHIN THE SCHOOLS, AND CORRECT INFORMATION ABOUT VACCINATIONS. CMRC ALSO SERVED AS COMMUNITY LIAISONS AND AIDED IN HOSTING PUBLIC TOWN HALLS FOR COMMUNITY MEMBERS TO ATTEND AND SPEAK DIRECTLY WITH EXPERTS AND RESOURCE CONNECTIONS, AND AIDED IN SETTING UP INFORMATIONAL AND VACCINATION CLINICS AS PART OF PROJECT HEALINGS, WHICH ENGAGED MORE THAN 70,000 MINNESOTANS FROM RACIAL AND ETHNIC MINORITY COMMUNITIES. DIVERSITY COUNCIL ALSO SERVES AS FISCAL SPONSOR TO 15 BIPOC-LED INITIATIVES THAT FIT WITH ITS PURPOSE AND MEET STATE AND FEDERAL STANDARDS. AS SUCH, WE SPONSOR ACTIVITIES THAT ARE EXTENSIONS OF THE WORK WE DO, AND EFFORTS WE WOULD UNDERTAKE IF WE HAD THE CAPACITY. SOME OF THESE EFFORTS ARE SHORT TERM, SOME ARE WORKING TOWARD NONPROFIT STATUS, SOME ARE SPORADIC, AND OTHERS WILL REMAIN WITH US LONG TERM.

LEARNING SERIES, AND ROCHESTER AREA NONPROFIT CONSORTIUM'S COMMITMENT TO RACIAL JUSTICE. ATTENDANCE AT PUBLIC AND VIRTUAL EVENTS TOPPED 10,000. AS NOTED, DIVERSITY COUNCIL JOINED FORCES WITH CULTURAL COMMUNITY GROUPS FROM AROUND THE STATE TO FORM PROJECT HEALINGS OF MN (HEALTH EDUCATION AND ADULT LEARNING INCORPORATED WITH NAVIGATION OF GOVERNMENT SYSTEMS). IN 2021, THE URGENT NEED FOR TRAINING AND CONSULTATION IN EDUCATIONAL SPACES GREW EXPONENTIALLY. WE ARE ENERGIZED BY THE TRUST AND CREDIBILITY WE HAVE BUILT WITH SO MANY EDUCATIONAL INSTITUTIONS AND ARE HONORED TO CONTINUE TO PROPEL CHANGE AND GROWTH IN SUCH VITAL SPACES.
