Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 will be provided to the board of directors for approval prior to filing. A) approval of the form 990 will be set as an "action item" on the agenda. B) upon approval, the accounting firm will be notified and the final 990 will be printed for their signature.

Form 990, Part VI, Section B, Line 12C

Members must avoid conflict of interest with respect to their fiduciary and financial responsibility. A) members are required to disclose annual interests that could give rise to conflict. B) the board will regularly and consistently monitor and enforce compliance with board members' code of conduct by having a standing agenda item regarding any conflict(s) of interest. C) there will be no self-dealing or business by a member with the organization without full disclose and board approval. Members will annually disclose their involvements with other organizations, with vendors, or any associations that might be or might reasonably be seen as being a conflict. D) when the board is to decide upon an issue, about which a member has an unavoidable conflict of interest, that member shall absent herself or himself without comment from not only the vote, but also from the deliberation. E) board members will not use their board position to obtain employment in the organization for themselves, family members, or close associates. Should a board member apply for employment, he or she must first resign from the board. F) the conflict of interest form(s) are reviewed, minimally, once a year and updated as necessary.

Form 990, Part VI, Section B, Line 15A

The board annually reviews the compensation of the ceo and reviews data from similar positions in similar areas to ensure appropriate compensation. The board as a whole would vote on an increase or not. All officers are volunteers and not compensated. Key employees are treated as all employees with wage scales set up and an annual review of their wage with an increase as set by the organization or an explanation as to why a different % was given. The ceo oversees all key employee compensation and the information of the wages and scales is provided by the hr department to the ceo. Some of the administrative positions were assessed in 2014 and some in 2016, all the direct care and lead support staff positions were assessed in 2016. The lss and pc positions were assessed the beginning of 2017. The dss, pm and pd positions were assessed in 2018.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are made available upon request.
