Governance Explanations

Form 990, Part VI, Section A, Line 1

The organization has an executive committee consisting of all officers, the immediate past chairperson of the board, all standing committee chairpersons, the medical director and such additional members of the board of directors as are appointed to the executive committee by the board. The chairperson of the board serves as chairperson of the executive committee. The executive committee has all of the powers and authority of the board of directors in the management of the business and affairs of the organization, except the power to adopt, amend, or repeal the organization's articles of incorporation and bylaws. All actions of the executive committee are reported to and reviewed by the board of directors at the first board of directors meeting following the action taken.

Form 990, Part VI, Section B, Line 11

The president and finance director review the completed form 990. It is then made available to the entire board for review prior to filing.

Form 990, Part VI, Section B, Line 12C

Board and staff complete annual conflict of interest disclosures. Board minutes indicate when any board member abstains from voting due to a conflict of interest.

Form 990, Part VI, Section B, Line 15A

The president submits a self-evaluation to the hr chair and board chair. These two individuals then gather feedback from the entire board and staff. The board chair does a thorough review prior to making recommendations for compensation. The hr chair also reviews all staff salaries during this process. This process was last completed in the current year for the president.

Form 990, Part VI, Section C, Line 19

The organization produces an annual report which includes audited financial statements. The website also contains the form 990 and indicates that any other public information is available upon request. In addition, the organization participates in a rigorous review by the charities review council of minnesota, which requires well-documented, written policies and transparency.

IRS990/Desc01. ACCOMPLISHMENTS DURING 2014-15, CHILDREN'S HEARTLINK SUPPORTED CLINICAL EDUCATION THROUGH 13 HOSPITAL PARTNERS, REACHING MORE THAN 1,200 MEDICAL PROFESSIONALS IN SIX COUNTRIES: BRAZIL, CHINA, INDIA, MALAYSIA, UKRAINE AND VIETNAM. THESE SITES HAVE SERVED 84,000 UNDERSERVED CHILDREN. CHILDREN'S HEARTLINK ALSO FACILITATED 524 DAYS OF DONATED TIME FROM MEDICAL VOLUNTEERS. ONE OF THREE NEW PARTNERSHIPS HAS BEEN FORMALLY ANNOUNCED AND MEMORANDUMS OF UNDERSTANDING SIGNED. THE REMAINING TWO WILL BE COMPLETED IN THE NEAR FUTURE.THE NEWEST OF THESE, KIEN GIANG GENERAL HOSPITAL, BECAME A CHILDREN'S HEARTLINK PARTNER IN 2015, WITH THE GOALS OF STRENGTHENING LOW-RISK SURGICAL CAPABILITIES AND SERVING AS A REGIONAL REFERRAL CENTER FOR CARDIOLOGY. IT IS THE ONLY OTHER CENTER SOUTH OF HO CHI MINH CITY THAT CAN PROVIDE PEDIATRIC CARDIAC SURGERY-IN A REGION THAT IS HOME TO 45 MILLION PEOPLE. IN EACH OF CHILDREN'S HEARTLINK'S REMAINING SITES, STEADY PROGRESS WAS MADE IN TRAINING CARDIAC PROFESSIONALS FOR IMPROVED RESULTS AND CAPACITY. AMONG THESE ARE ANTICIPATED IMPROVEMENTS MADE IN REDUCING POST-OPERATIVE INFECTIONS AT HOSPITAL DA CRIAN A E MATERNIDADE IN BRAZIL. PRELIMINARY RESULTS SHOW EXCELLENT ADHERENCE TO INFECTION PREVENTION GUIDELINES SUCH AS HAND HYGIENE, BEDSIDE CLEANING, CENTRAL LINE CARE, AND AN INFECTIONS TRACKING BOARD BY THE INFECTION CONTROL NURSE. WE ARE EXPECTING THE ANNUAL REPORTS SOON AND WILL THEN COMPARE INFECTION RATES WITH THE PREVIOUS YEAR. ANOTHER OF CHILDREN'S HEARTLINK'S NEWEST SITES, FIRST AFFILIATED HOSPITAL OF KUNMING MEDICAL UNIVERSITY, HAS ALREADY BEGUN PROVIDING TRAINING TO PRIMARY CARE PROFESSIONALS IN YUUNAN PROVINCE IN CHINA TO INCREASE REGIONAL SCREENING PRACTICES, LEADING TO EARLIER DIAGNOSIS. IN DECEMBER TWO MEDICAL VOLUNTEERS PARTICIPATED IN A SCREENING PROGRAM WITH FIRST AFFILIATED HOSPITAL TEAM MEMBERS IN MENGHAI COUNTY IN SOUTHERN YUNNAN. AS A RESULT OF THE SCREENING PROGRAM, 3,500 CHILDREN WERE SCREENED AND 100 CHILDREN HAD AN ECHO EXAMINATION. SEVERAL CHILDREN WERE FOUND TO HAVE HEART DISEASE. THIS HELPED INITIATE DISCUSSIONS WITH LOCAL PARTNERS TO START BASIC TRAINING ON DETECTION AND SCREENING IN YUNNAN PROVINCE. THE PROGRAM WILL FOCUS ON TRAINING PRIMARY CARE PROVIDERS FOR DETECTION IN SCHOOL-AGED CHILDREN, AS WELL AS HOSPITAL PROVIDERS WITH NEONATAL UNITS TO IMPLEMENT NEWBORN SCREENING.CHILDREN'S HEARTLINK CONTINUES TO BE AN ADVOCATE AND LEADER IN THE DEVELOPMENT OF GLOBAL NURSE PROFESSIONALS FOR PEDIATRIC CARDIAC CARE. IN PREPARATION FOR THE 7TH WORLD CONGRESS IN PEDIATRIC CARDIOLOGY AND CARDIAC SURGERY IN 2017, THE MOST SIGNIFICANT GLOBAL MEETING FOR THE PEDIATRIC CARDIAC COMMUNITY, SEVERAL NURSING LEADERS WORKING WITH CHILDREN'S HEARTLINK WERE INVITED TO SERVE ON THE NURSING TRACK SCIENTIFIC COMMITTEE. THREE OF THEM ARE CURRENT MEDICAL VOLUNTEERS AND TWO ARE FROM OUR PARTNER SITES NARAYANA INSTITUTE OF CARDIAC SCIENCES IN BANGALORE, INDIA, AND INSTITUT JANTUNG NEGARA IN KUALA LUMPUR, MALAYSIA. 2. IMPACTCHILDREN'S HEARTLINK HAS POSITIONED ITSELF FOR FUTURE GROWTH AND IMPACT. CURRENTLY, FOUR OF THE 11 INTERNATIONAL PARTNERS ARE ACTIVELY IN PHASE THREE (THE FINAL STAGE) OF CLINICAL, ORGANIZATIONAL AND LEADERSHIP DEVELOPMENT, AND ARE ON TRACK TO ACHIEVE GLOBAL PARTNER STATUS IN THE NEXT ONE TO THREE YEARS. AS PLANNED, THE ORGANIZATION HAS BEEN ASSESSING POTENTIAL PARTNER SITES. FOUR FUTURE SITES IN BRAZIL, INDIA AND VIETNAM WERE VISITED BY CHL TEAMS AND EVALUATED. TWO OF THOSE WERE SELECTED BECAUSE OF THEIR EXISTING RELATIONSHIP WITH A CURRENT PHASE THREE PARTNER SITE THAT WILL IN TIME, ASSUME PARTIAL RESPONSIBILITY AS A MEDICAL VOLUNTEER TRAINER TO THE NEW PARTNER. ONE OF THESE NEW PARTNERSHIPS WAS FORMALIZED IN THE FORM OF A MEMORANDUM OF UNDERSTANDING. THE OTHER TWO WILL OCCUR SHORTLY.POLITICAL INSTABILITY AND WAR IN EASTERN UKRAINE HAS RESULTED IN WHAT CHILDREN'S HEARTLINK HOPES WILL BE A TEMPORARY SUSPENSION OF PROGRAMMING AT THE UKRAINIAN CHILDREN'S CARDIAC CENTER (UCCC), WHICH HAS EMERGE
