“The organization has an executive committee consisting of all officers, the immediate past chairperson of the board, all standing committee chairpersons, the medical director and such additional members of the board of directors as are appointed to the executive committee by the board. The chairperson of the board serves as chairperson of the executive committee. The executive committee has all of the powers and authority of the board of directors in the management of the business and affairs of the organization, except the power to adopt, amend, or repeal the organization's articles of incorporation and bylaws. All actions of the executive committee are reported to and reviewed by the board of directors at the first board of directors meeting following the action taken.”

“The president and finance director review the completed form 990. It is then made available to the entire board for review prior to filing.”

“The organization has a conflict of interest policy that applies to all staff and board. In addition, board and staff complete annual conflict of interest disclosures. The organization will not enter into any contract or transaction with one or more members of the board of directors, a director of a related organization, or an organization in or of which a member of the board of directors is a director, officer or legal representative, or in some other way has a material financial interest, unless that interest is disclosed or known to the board of directors; the board of directors approves, authorizes or ratifies the action in good faith; the approval is by a majority of the members of the board of directors present (not counting the interested member); the approval is granted at a meeting where a quorum is present (not counting the interested member). The interested member may be present at the meeting for discussion to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken. The minutes of all actions taken on such matters clearly reflect that these requirements have been met.”

“The president submits a self-evaluation to the hr committee chair and board chair. These two individuals then gather feedback from the entire board and staff. The board chair does a thorough review prior to making recommendations for compensation, including review of comparability data, which are then approved by the board of directors and documented in the board minutes. The hr committee chair also reviews all staff salaries during this process. This process was last completed in february 2014 for the previous president's final incentive pay as well as the incoming president's compensation.”

The website also contains the form 990 and indicates that any other public information is available upon request. In addition, the organization participates in a rigorous review by the chartiies review council of minnesota, which requires well-documented, written policies and transparency.”
