Governance Explanations

Form 990, Part VI, Section A, Line 1A

When the board is not in session, the executive committee shall have and may exercise all of the authority of the board, except (i) that the board may limit such authority by resolutions, and (ii) that the executive committee shall not have the authority of the board with respect to amending the articles of incorporation or the bylaws, or approving a plan of merger or consolidation, a sale, lease, or other disposition of assets of this corporation other than in the ordinary course of its business, or a voluntary dissolution of the corporation or a revocation thereof.

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the return, and the treasurer has the authority to give the 990 an in-depth review and sign it. The 990 is shared with the full board prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all directors and employees of the organization. All organizational relationships must be disclosed to the board of directors on an annual basis. The board then evaluates whether a conflict of interest exists. If a conflict of interest does exist, then the conflicted individual must refrain from participating in any decisions related to the conflict of interest, except to answer questions. Perspectives will then evaluate whether a conflict of interest exists and the best way to resolve it. Proceedings resulting from conflicts of interest are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

All positions are compensated at 50% to 110% of median rate for like positions in similarly sized nonprofit organizations in the area. For purposes of market comparison, a position will be deemed a like position" if it matches 75% or more of the related job description. In some circumstances, a blended rate of positions may be required to determine a market comparison. Compensation is reviewed by the finance committee and approved annually by the board as part of the annual budget.
