Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization amended its bylaws to extend the board member term of office from two (2) years to three (3) years, to create a limit for board members to serve only four (4) consecutive terms, and to provide the board with the ability to take action electronically (either telephonically or via email). An additional amendment was also approved to change the term of an officer from one (1) year to three (3) years, so that the length of an officer's term coincides with the length of a term as a board member.

Form 990, Part VI, Section B, Line 11

A copy of the 990 was provided to the full board for review before filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization utilizes an annual disclosure conflict of interest form, which is regularly and consistently monitored and enforced. If a conflict of interest arises, a board member identifies their conflict of interest at the time of discussion and abstains from the discussion and voting process, in compliance with the written policy.

Form 990, Part VI, Section B, Line 15

The executive committee functions as the compensation committee of the board. They are responsible for ensuring compensation (salary and benefits) reasonableness to market for all staff, using the mn council of nonprofits salary survey as a benchmark. This process was last completed in 2014. The compensation committee also ensures that salaries and benefits are in compliance with the agency compensation philosophy and aligned with strategies identified in the talent and performance potential assessment that is completed annually. The finance committee ensures that it all works within the constraints of the budget.

Form 990, Part VI, Section C, Line 19

The governing documents and financial statements are available upon request. The conflict of interest policy is registered and available on the us department of housing and urban development (h.u.d.) and us department of human services websites.
