Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the officers of the board and the immediate past president of the board. The executive committee is at all times subject to the control and direction of the entire board. The executive committee advises the president as to the appointment of committee chairs and members. The executive committee has the authority to act in the name of the board between regularly scheduled meetings of the board, except that the executive committee does not have authority to elect directors or officers, or act with respect to any matters specifically reserved for action by the entire board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once the draft return is reviewed by management and changes incorporated into the filing, the return is then provided to the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The theatre's conflict of interest policy covers officers, directors, and employees who may influence the decisions of the organization. The board (or committee thereof) shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to park square theatre. The decision of the board (or committee thereof) on these matters will rest in their sole discretion, and their concern must be the welfare of park square theatre and the advancement of its purpose. Individuals with conflicts of interest may not participate in the discussion or approval of the transaction. Proceedings are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

In 2012, the board issued its first employment contract for the executive director, which established baseline compensation and benefits. Compensation for the artistic director was set in the budgeting process to equal that of the executive director. The full board reviews and approves compensation through the budget recommended by the finance committee. The process for approving the budget including compensation changes is documented in the meeting minutes and budget documents. The process to perform a thorough review of the compensation for the executive director and artistic director was last undertaken for each position in the spring of 2018.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

IRS990/Desc0GENERAL AUDIENCE PROGRAMMING-PARK SQUARE'S MISSION IS TO ENRICH OUR COMMUNITY BY PRODUCING AND PRESENTING EXCEPTIONAL LIVE THEATRE THAT TOUCHES THE HEART, ENGAGES THE MIND AND DELIGHTS THE SPIRIT. NAMED MPLS/ST. PAUL MAGAZINE'S 2012 BEST MID-SIZED THEATRE, PARK SQUARE THEATRE IS THE LARGEST MID-SIZED THEATRE IN MINNESOTA AND THE ONLY ONE WITH TWO STAGES. THE THEATRE GENERALLY SERVES THE MARKET'S THIRD-LARGEST SUBSCRIBER BASE AND AN ANNUAL AUDIENCE OF 82,000. THE LAST SHOW PERFORMED ON STAGE BEFORE THE MARCH 2020 PANDEMIC SHUTDOWN OF LIVE THEATRE IN MINNESOTA WAS EMBLEMATIC OF THE THEATRE'S COMMITMENT TO 21ST CENTURY RELEVANCE AND TO CREATING A SENSE OF BELONGING FOR ALL COMMUNITIES IN OUR REGION: THE WORLD PREMIERE OF "HMONG WOMEN'S EXPERIENCES," A SHOW CREATED AND PERFORMED BY FIVE LOCAL HMONG WOMEN THAT WOVE TOGETHER THEIR LIVED EXPERIENCES AS IMMIGRANTS. WITHIN DAYS OF THE SHUTDOWN ORDER, PARK SQUARE PIVOTED TO ONLINE OFFERINGS IN ORDER TO CONTINUE SERVING ITS WIDE AND DEVOTED AUDIENCE WITH BOTH NEW AND CLASSIC PLAYS THAT EXCITE GENERATIONS OF AUDIENCES. IN MAY 2020, THE THEATRE'S ONLINE PRODUCTION OF "THE DIARY OF ANNE FRANK" WAS HAILED BY THE WALL STREET JOURNAL AS "THE WORLD'S FIRST ZOOM COUP DE THEATRE AND MADE 474,000 IMPRESSIONS WORLDWIDE. THIS WAS FOLLOWED BY THE WORLD'S FIRST "ZOOM-DUNIT" INTERACTIVE MURDER MYSTERY IN FOUR EPISODES - "RIDDLE PUZZLE PLOT" BY JEFFREY HATCHER. THE THEATRE CONTINUED WITH MONTHLY ONLINE OFFERINGS THROUGH 2020. THE ANNOUNCED 2020-21 SEASON HAD ALREADY MET 1/3 OF ITS SUBSCRIPTION GOAL WHEN THE SHUTDOWN OCCURRED. THOSE PRODUCTIONS, AS WELL AS THE SHOWS THAT COULDN'T BE PERFORMED IN FY2020 ARE IN THE PROCESS OF BEING RESCHEDULED AS PANDEMIC RESTRICTIONS LIFT.

IRS990/ProgSrvcAccomActy2Grp/Desc0STUDENT PROGRAMMING-OUR APPROACH TO STUDENTS IS MISSION-DRIVEN AND TEENS ARE AN ESSENTIAL PARK SQUARE AUDIENCE. PARK SQUARE SERVES ONE OUT OF EVERY FIFTEEN 7-12 GRADERS IN THE STATE AS WELL AS STUDENTS FROM ACROSS THE REGION. STUDENTS COME TO US FROM AS FAR AWAY AS LACROSSE, WISCONSIN AND FOREST LAKE, IOWA. THE GEOGRAPHIC BREAK DOWN IS 16% URBAN (MPLS/SP), 41% SUBURBAN, AND 43% RURAL. OVERALL, 18% ARE STUDENTS OF COLOR, WITH HIGHER PERCENTAGES FOR URBAN AND SUBURBAN AUDIENCES. IN ADDITION TO OFFERING REDUCED-PRICE PERFORMANCES OF CLASSICS AND CONTEMPORARY WORKS, PARK SQUARE'S SIGNATURE "IMMERSION DAYS" FEATURE ARTIST-LED WORKSHOPS, INTERACTIVE DEMONSTRATIONS AND POST-SHOW DISCUSSIONS. THE PANDEMIC SHUTDOWN OCCURRED JUST DAYS BEFORE THE THEATRE'S AWARD-WINNING EDUCATION PROGRAM WAS SET TO OPEN TWO SHOWS FOR 16,000 SCHOOL STUDENTS. IN ADDITION TO TAKING "THE DIARY OF ANNE FRANK" ONLINE, THE THEATRE RELEASED A FILMED VERSION OF ITS PRODUCTION OF "ROMEO AND JULIET." BOTH PRODUCTIONS WERE OFFERED FREE TO SCHOOLS.
