Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the officers of the board and the immediate past president of the board. The executive committee is at all times subject to the control and direction of the entire board. The executive committee advises the president as to the appointment of committee chairs and members. The executive committee has the authority to act in the name of the board between regularly scheduled meetings of the board, except that the executive committee does not have authority to elect directors or officers, or act with respect to any matters specifically reserved for action by the entire board.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's public accounting firm based on information provided by management. Once the draft return is reviewed by management and changes incorporated into the filing, the return is then provided to the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

The theatre's conflict of interest policy covers officers, directors, and employees who may influence the decisions of the organization. The board (or committee thereof) shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to park square theatre. The decision of the board (or committee thereof) on these matters will rest in their sole discretion, and their concern must be the welfare of park square theatre and the advancement of its purpose. Individuals with conflicts of interest may not participate in the discussion or approval of the transaction. Proceedings are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15

The board issued its first employment contract for the executive director, which established baseline compensation and benefits. Compensation for the artistic director was set in the budgeting process to equal that of the executive director. The full board reviews and approves compensation through the budget recommended by the finance committee. The process for approving the budget including compensation changes is documented in the meeting minutes and budget documents. The process to perform a thorough review of the compensation for the executive director and artistic director was last undertaken for each position in the spring of 2018.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

IRS990/Desc0GENERAL AUDIENCE PROGRAMMING-PARK SQUARE'S MISSION IS TO ENRICH OUR COMMUNITY BY PRODUCING AND PRESENTING EXCEPTIONAL LIVE THEATRE THAT TOUCHES THE HEART, ENGAGES THE MIND AND DELIGHTS THE SPIRIT. NAMED MPLS/ST. PAUL MAGAZINE'S 2012 BEST MID-SIZED THEATRE, WE ARE THE EAST METRO'S TOP EMPLOYER OF LOCAL STAGE TALENT, PUTTING 200+ ARTISTS TO WORK IN 13 PRODUCTIONS. WE ARE ALSO HOME TO THE LARGEST TEEN THEATRE AUDIENCE IN THE COUNTRY FOR A THEATRE OUR SIZE. OUR DIVERSE PROGRAM SCHEDULE IS SUPPORTED BY THE MARKET'S THIRD LARGEST SUBSCRIBER BASE AND IS MATCHED OR EXCEEDED ONLY BY THE GUTHRIE AND CHILDREN'S THEATRE COMPANY. OUR ADULT AUDIENCE OF MORE THAN 42,000 IS SPREAD EVENLY ACROSS THE GREATER TWIN CITIES AREA INCLUDING WESTERN WISCONSIN. PARK SQUARE THEATRE IS THE PROUD RECIPIENT OF THE SAINT PAUL AREA CHAMBER OF COMMERCE'S DEUBENER AWARD, NON-PROFIT BUSINESS OF THE YEAR (2016). LIKE MOST MAINSTREAM ARTS AUDIENCES, OURS HAVE BEEN MOSTLY CAUCASIAN, WELL-EDUCATED AND MIDDLE CLASS, BUT OUR DEMOGRAPHICS HAVE BEEN CHANGING. DIVERSITY HAS EXPLODED WITH 13 PROJECTS ON TWO STAGES, OFTEN CHOSEN AND LED BY WOMEN/AND OR ARTISTS OF COLOR. FOR EXAMPLE, SHOWS THAT FEATURE A DIVERSE CAST, LIKE THE 2017 PRODUCTION DOT, ATTRACTED A HIGH PERCENTAGE OF AUDIENCES OF COLOR. IN ADDITION, ARTISTS OF COLOR TOTAL 44% OF ALL ARTISTS IN THE 2017-2018 SEASON.POWERED BY NEW ARTISTIC DIRECTOR, FLORDELINO LAGUNDINO, HIRED IN JUNE 2018, OUR VISION IS TO BECOME A CULTURAL HUB FOR ARTISTICALLY INNOVATIVE AND CIVICALLY ENGAGED ARTISTS AND AUDIENCES - A VITAL INTERSECTION FOR CULTURE, THOUGHT AND CONVERSATION. THE HEART OF THIS VISION IS AN INTENTIONALLY WIDE RANGE OF WORK TO SATISFY AND CROSS-POLLINATE A MULTIPLICITY OF VOICES. OUR GOALS TO INCREASE INCLUSIVENESS AMONG ARTISTS AND AUDIENCES: 1) DIVERSIFY PROGRAMS AND TALENT; 2) BUILD AUTHENTIC RELATIONSHIPS THAT INCREASE PARTICIPATION BY AUDIENCES OF COLOR; AND 3) BRING NEW PLAYS TO THE TWIN CITIES THAT ADDRESS RACE, CLASS, AND INCLUSIVENESS. THE 2017-2018 SEASON, PROGRAMMED AND LED BY FORMER ARTISTIC DIRECTOR RICHARD COOK, WAS TRULY POWERFUL. LITERARY FAVORITES LIKE HAMLET WERE BALANCED WITH BRAND NEW WORK. A MODERNIZED VERSION OF HAMLET, FOR EXAMPLE, PLAYED FOR BOTH ADULT AND STUDENT AUDIENCES. THE PRODUCTION FEATURED ACTORS OF COLOR, A LARGE RANGE OF AGES, AND TWO WOMAN PLAYING TRADITIONALLY MALE ROLES. ONE CRITIC CALLED IT "A FRESH, NEW PRODUCTION OF THIS TIMELESS WONDER" (HOW WAS THE SHOW?).THIS YEAR'S ARTISTIC HIGHLIGHTS ALSO INCLUDED TWO SHOWS PARK SQUARE THEATRE BROUGHT BACK FROM THE HUMANA FESTIVAL IN LOUISVILLE, KENTUCKY. THE PLAY DOT FEATURES AN AFRICAN AMERICAN FAMILY GRAPLING WITH THE CHANGES THAT COME WHEN THE MATRIARCH BEGINS EXHIBITING THE EARLY STAGES OF ALZHEIMER'S DISEASE. WHILE THE PLAY DEALT WITH DIFFICULT SUBJECT MATTERS, AUDIENCES TOOK WITH THEM THE TENDERNESS AND HUMOR THAT THE CAST WAS ABLE TO CAPTURE THROUGH THE PRODUCTION.THE OTHER PRODUCTION FROM THE HUMANA FESTIVAL IS CARDBOARD PIANO. SET IN WAR-TORN UGANADA, TWO YOUNG WOMAN (ONE AFRICAN AND ONE THE DAUGHTER OF A MISSIONARY) ARE MEETING IN THE MIDDLE OF THE NIGHT FOR A SECRET WEDDING CEREMONY WHEN THEY ARE INTERRUPTED BY A CHILD SOLDIER. THE PLAY WRESTLES WITH THE CONCEPTS OF REDEMPTION AND HAS UNIVERSAL MESSAGING THAT OUR AUDIENCES ARE COMPLETELY MOVED BY. TALKING BROADWAY REPORTED THAT "PARK SQUARE IS TO BE COMMENDED FOR CONTINUING TO MOUNT NEW WORKS THAT ILLUMINATE THE INFINITE RANGE OF EXPERIENCES OF THE HUMAN HEART." THESE TWO PRODUCTIONS WERE ELEVATED BY THE NEW "SHARING THE SQUARE" INITIATIVE AT PARK SQUARE THEATRE. THIS INVOLVES WORKING WITH COMMUNITY PARTNERS WHO CAN SHARE INSIGHT INTO THEIR AREAS OF EXPERTISE TO MAKE THE PRODUCTION MORE AUTHENTIC AND MEANINGFUL. COMMUNITY PARTNERS BRING IN EXPERTS TO REHEARSALS AND PERFORMANCES TO HELP CAST AND AUDIENCES LEARN MORE ABOUT THE CONTEXT OF THE PLAYS AS WELL AS THE WORK THE COMMUNITY PARTNERS ARE DOING. BY WORKING WITH EACH OTHER BOTH THE THEATRE AND COMMUNITY PARTNERS ARE EXPOSE
