Governance Explanations

Form 990, Part VI, Section A, line 6

The Organization has members. All members have the same voting rights.

Form 990, Part VI, Section A, line 8B

There are no committess with the authority to act on behalf of the governing body.

Form 990, Part VI, Section B, line 11B

Management will review a draft copy of the Form 990. It will then be emailed to the Board of Directors before the final copy is filed.

Form 990, Part VI, Section B, line 12C

The Organization has a conflict of interest policy in place which covers the board of directors. If a conflict of interest exists, a board member leaves the room during the discussion in order to not influence any vote on the discussion and the board member abstains from voting on the issue with the conflict. Conflicts will be reviewed by management and the board of directors, and the board will determine whether a conflict of interest exists.

Form 990, Part VI, Section B, line 15A

When the CEO was hired, the board of directors approved the CEO's compensation. Comparability data from regional and local nonprofits of similar size was used for the compensation data. Written minutes were taken at the board meeting. The CEO's compensation is reviewed and evaluated on an annual basis. For other officers, an annual performance review is done by the individual's supervisor. For the Controller, this is done by the CEO. A scoring tool is used in addition to setting goals and objectives for future periods. Compensation increases are determined through this process.

Form 990, Part VI, Section C, line 19

The Organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

Supplemental Narrative

Additional Explanations

Form 990, Part III, line 2

Plains Art Museum, and our Katherine Kilbourne Burgum Center for Creativity, creates and facilitates hundreds of public programs and educational programs each year. These include artist-led workshops, camps, lectures, public art projects, multi-disciplinary performances and more. Some of these programs are annual and some are new or one-time programs. In our latest fiscal year, we deepened our collaboration with community partners who deliver accessible arts education, created a multi-disciplinary family event, created new art making classes for all ages, co-facilitated Fargo's first temporary public art project, implemented a Native American Film Series, and much more.

Financial Statement Notes

Part III, Line 1A:

Footnote from Audited Financial Statements regarding Financial Statement treatment of donated works of art: The Museum does not capitalize donated works of art or recognize them as revenues or gains. Donations need not be recognized if they are added to collections that are held for public exhibition, education, or research in furtherance of public service rather than financial gain; are protected, kept unencumbered, cared for, and preserved; and are subject to a policy that requires the proceeds from sales of collection items to be used to acquire other items for collections. Gifts received in 2019 and 2018 were valued at approximately $0. Collection items are recorded at cost if purchased.

Part III, Line 4:

The Plains Art Museum's collections consist of 5,000 fine art and ethnographic objects in both the museum's permanent and educational collections. The museum regularly exhibits and interprets objects from its permanent and education collections in one of the museum's primary galleries on a permanent, annual rotating basis. Additionally, temporary and/or traveling exhibitions hosted by the museum are often augmented and greatly enhanced by objects from our permanent and education collections. The museum also provides access to its collections to both scholarly endeavors and the greater public by actively participating with the general public, academia and the greater museum community by lending works and/or entire exhibitions from its collections to appropriate and approved lenders world-wide.

Part V, Line 4:

The income from the endowment account is to be utilized for the exhibition, development, and curatorial projects that benefit or create opportunities for emerging and mid-career artists, for acquisitions of art by emerging and mid-career artist's for the permanent collection, and for publications and catalogs supporting or documenting exhibitions or contemporary projects by emerging or mid-career artists. The William Randolph Hearst endowment fund income is used for education purposes. Included in the $2,634,937 endowment net assets are permanently restricted net assets of $2,259,746, and unrestricted net assets of $432,691.

Part X, Line 2:

The Museum is organized as a North Dakota nonprofit corporation and have been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3). The Museum is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Museum is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. The Museum files an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS to report its unrelated business taxable income. The Museum believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0In fiscal year 2019, Plains Art Museum engaged over 45,000 people through our mission of connecting art, artists and audiences to foster creative, resilient, and welcoming communities. Through our PlainsArt4All Initiative, the Museum offered free general admission to the general public to almost 30 temporary exhibitions. In addition, the Museum facilitated over 200 educational experiences for all ages - tours, workshops, talks, and more; and facilitated new community programs, outreach events, and our exemplary Buzz Lab Teen Internship program.
