Governance Explanations

Form 990, Part VI, Section B, line 11B

The form 990 will be reviewed by the Executive Director and Finance Committee of the Board upon its completion. The content will be discussed at a finance committee meeting prior to filing and prior to presentation to the board. At the board meeting, the board will approve the content and filing of the form 990.

Form 990, Part VI, Section B, line 12C

Annually, all Officers, members of the Board of Directors, members of the Advisory Committee and key staff are asked to complete an annual disclosure statement regarding potential conflict of interest with Relate's activities. If something arises after the annual disclosure is made, then individuals are asked to disclose any potential conflicts at the earliest practical time. Conflict of interest statements are secured and reviewed annually by our audit firm with any conflict of interest being reported to the Executive Director. Also, at meetings of the Board of Directors, all disclosures of real or apparent conflict of interest shall be noted for the record in the minutes.

Form 990, Part VI, Section B, line 15

It is the policy of Relate that the compensation paid to its employees is reasonable and competitive in relation to comparable positions in similar organizations, subject to budgetary considerations. The Executive Committee of the Board of Directors serves as the compensation committee with regard to setting the Executive Director's compensation. The Executive Director will set compensation in consultation with the Clinical Director, and annually with the Finance Committee and the Board. Members of these groups with a conflict of interest must recuse themselves from such action and may not participate in nor be present during any discussions, deliberations, or decisions of either the Executive, Finance Committee or Board. The Executive Committee sets the compensation of the Executive Director, and approves the compensation of all employees on the form 990. The Executive Director salary is presented at an annual board meeting for final approval. The Executive Director sets the compensation of all other employees in accordance with the procedures set out in its Compensation Policy. The Executive Committee and Executive Director use comparability data prior to and in connection with the determination and approval of all compensation and benefits data from comparative tax exempt and, in some cases, taxable organizations for functionally comparable positions requiring similar skills, education, and experience; the location of the organization, independent pay surveys, the number of employees and the assets, budget or revenues supervised, and any other unusual challenges. The Executive Director documents all aspects of all proceedings regarding the comparability data.

Financial Statement Notes

Part X, Line 2:

The Organization is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Minnesota Statute 290.05. It has been classified as an organization that is not a private foundation under Section 509(a)(3) of the Internal Revenue Code and charitable contributions by donors are tax deductible. However, certain activities of the Organization, to the extent profitable, may be subject to Federal and State taxation as unrelated business income. For the year ended December 31, 2020, the Organization's sole source of unrelated business income was rental income from the Affiliate. The Affiliate is taxed as a single owner limited liability company. As such, the Affiliate is a disregarded entity and does not pay federal or state corporate income tax on its taxable income. The Affiliate's income or loss is passed through to the Organization and reported on its nonprofit income tax returns as unrelated business income. Federal and state tax authorities generally have the right to examine the current and three previous years of income tax returns. The Organization is not currently under examination by any taxing jurisdiction.
