To invite the world's finest recital soloists and ensembles to our community and to promote the finest musical talents of our community to the world. We do this through performances, education and museum programs, championing the music of today while celebrating great classical music of the past.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization now has only one class of members: board members; those persons who at the date of the amendment of the bylaws are voting members of the corporation and others elected by a majority vote of the membership present in person or by proxy at any meeting of the membership at which a quorum is present.

Form 990, Part VI, Section B, Line 11

The organization's audit and compliance committee is responsible for the detailed review of the form 990; an approved copy will be distributed to the full board prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers board members and employees. The interested person discloses the existence and the material facts regarding a potential conflict of interest to the board or committee; the board or committee will determine if conflict of interest exists. The interested person may not be present in the board or committee meeting and may not vote on the transaction. The board or committee will determine any appropriate disciplinary or corrective action. All proceedings related to conflicts of interest are documented in the meeting minutes. Employees discuss possible conflicts with the artistic and executive director who determines if a conflict exists; an employee who disregards prohibition is subject to disciplinary action up to termination.

Form 990, Part VI, Section B, Line 15A

The executive committee had previously conducted a salary study for the prior executive director less than 12 months prior to hiring mr. Kempton. The study was based on interviews with other music and non-musical non-profit organizations, published information from the form 990 and from published salary data from non-profits throughout the country. Given the unique nature of the schubert club, it was felt that gathering data from as many sources as possible was useful and appropriate to determine the market rate for total compensation for this position. Given the short period of time that had passed since the study, the executive committee felt that a similar compensation package, adjusted for experience, would be appropriate. The board of directors approved the compensation package for mr. Kempton who was hired in january 2012. There has been no adjustment to his base pay since his hire date.

Financial Statement Notes

PART III, LINE 1A:

The organization's collections, which were acquired through purchases and contributions since the organization's inception, are not recognized as assets on the balance sheet. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired or as temporarily restricted net assets if the assets used to purchase the items are restricted by donors. Contributed collection items are not reflected on the financial statements. Proceeds from de-accessions or insurance recoveries are reflected as increases in the appropriate net asset classes. The organization's collections are made up of historical musical instruments, manuscripts, and related materials that are held for educational and performance purposes. Each of the items is cataloged, preserved and cared for, and activities verifying their existence and assessing their condition are performed continuously. The collections are subject to a policy that requires proceeds from their sales to be used to acquire other items for collections.

PART III, LINE 4:

The schubert club museum in landmark center holds a collection of historically important instruments from around the world and manuscripts from great composers. Recognized for its integration of exhibits and performances, individual tours, and the opportunity to play reproductions of historical intruments, the museum has been expanded to include three collections: keyboard collection - more than 100 instruments, dating from 1542 to the present; kugler collection of musical instruments -from around the world and indonesian gamelan orchestra instruments; and gilman ordway manuscript collection - over 100 original documents written by great composers including beethoven, mozart, haydn and schubert.

PART V, LINE 4:

The organization holds endowment funds to support general operations, performance, education (including scholarships), and museum programs.

PART X, LINE 2:

The organization has a tax exempt status under section 501(c)(3) of the internal revenue code and minnesota statute. It has been classified as an organization that is not a private foundation under the internal revenue code and charitable contributions by donors are tax deductible. The organization is liable for federal and state income tax on any unrelated business income. The organization has adopted the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The implementation of this standard had no impact on the organization's financial statements. The organization's tax returns are open to examinations for the years ending june 30, 2011 through 2013.

OUR MUSIC IN THE PARK SERIES (MIPS) PRESENTS CHAMBER MUSIC ENSEMBLES IN SAINT ANTHONY PARK UNITED CHURCH OF CHRIST FOR 1,700 PEOPLE ANNUALLY, AS WELL AS SIX FAMILY CONCERTS (500 TOTAL ANNUAL ATTENDANCE). TWO ADDITIONAL CONCERTS FEATURING MINNESOTA-BASED TRIO THE NEW STANDARDS TO CELEBRATE THE 35TH ANNIVERSARY OF MIPS WERE ATTENDED BY A FURTHER 550 PEOPLE. THE SCHUBERT CLUB PRESENTED THREE CONCERTS IN A NEW SERIES CALLED MIX AT ARIA IN MINNEAPOLIS TO A TOTAL AUDIENCE OF 1100.
