Governance Explanations

Form 990, Part VI, Section B, line 11

After the CEO and VP of Finance and Adminstration review the 990, the Finance Committee reviews it at one of their regularly scheduled monthly meetings. If the Finance Committee approves it, it is put on the Board of Directors Agenda and the Treasurer presents to the full board. The board receives a copy of the 990 by email a week prior to the board meeting. The board has a formal board motion to approve the 990 for filing.

Form 990, Part VI, Section B, line 12C

Each year and whenever there are new board members or new key staff, the conflict of interest policy is reviewed and individuals are asked to disclose any potential business or personal relationships. The executive committee annually reviews these conflict of interest forms to monitor for potential conflicts. If there is a board motion or discussion in which a key staff person or board member has conflict, this is discussed and noted in the board minutes. The individual then abstains from voting on the motion.

Form 990, Part VI, Section B, line 15

The wayside house board of directors has established that the executive committee will serve as the compensation committee and will conduct an annual written evaluation of the ceo's job performance. The committee meets independent of the ceo to discuss job performance relative to the position description. The committee may also consider input obtained from other board members, staff, and professional advisors, grant recipients, and other informed community leaders. Once a consensus is reached regarding job performance, the committee will discuss compensation relative to annual external benchmarks, the ceo's established objectives, and the organization's budget and resources. The committee will present its findings and recommendations, in a closed session without the ceo present, to the full board of directors for review and approval. Approval of the performance evaluation and salary will be reflected in the minutes of the board of directors meeting. The committee designee and board chair will meet with the ceo to discuss and document strengths, weaknesses, goals, and compensation for the upcoming year.

The endowment fund is restricted by the donor for the purpose of helping graduates overcome housing barriers, such as rent, security deposits, storage fees and other housing needs. Gifts are made from the interest income of this fund.

Part X, Line 2:

The organization follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the organization for uncertain tax positions as of december 31, 2015. The organization's tax returns are subject to review and examination by federal and state authorities. The tax returns for the current year as well as fiscal years 2012 and thereafter are open to examination by federal authorities.

IRS990/Desc0The Wayside Women's Treatment Center is one of the first in the nation to provide gender specific culturally responsive residential and continuing care outpatient treatment. The Women's Treatment Center is designed to serve Minnesota women who face the greatest challenges in achieving long-term sobriety. 271 women received residential treatment in 2015 with the average length of stay being 96 days. Successful completions across all programs agency-wide was 64.7%, an improvement of 4% from 2014.

Our Wayside Family Treatment Center allows women to enter treatment along with her children in an effort to avoid the trauma of separation. 120 women received residential treatment in 2015 with the average length of stay being 83 days. The number of children of mothers in our care who received supportive services were 273.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Wayside Wellness Outpatient Center: Our Wellness Outpatient Center is our newest program allowing Wayside to provide a full array of chemical dependency and mental health care. The Wellness Center provides an entry point for preventive care. We engage women before the addiction and co-occurring problems in their lives have deteriorated to require residential treatment. This early engagement is less expensive to the client and the payment source, meets the women where they are, engages the entire family unit, and is culturally specific. 23 women were served since the opening of this program in May 2015. Wayside Prevention and Community Education Program: In 2015, Wayside created a new programming division in an attempt to provide education to those seeking information about the disease of addiction, how it starts, how it affects the family unit, how co-occurring problems affect the health and wellness across the life-course and how delaying our response to these issues creates ongoing challenges for our future generation in the form of Adverse Childhood Experiences, criminalization of addiction, poor health outcomes, and loss of life. Two educational seminars were held in 2015 along with 3 community partner forums, 15 coalition meetings, and 2 co-occurring trainings.
