Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee is composed of elected officers of the corporation and the Chief Executive Officer. The Chief Executive Officer shall have no vote. The Executive Committee has the authority of the Board of Directors in the management of the business of this corporation in the interval between meetings of the Board of Directors. The Executive Committee shall at all times be subject to the control and direction of the Board of Directors.

Form 990, Part VI, Section B, line 11B

The Missions Inc. IRS Form 990 is reviewed by the Board of Directors' Finance Committee at its audit review meeting in April. A complete copy of the Form 990 is provided to all members of the Board of Directors for review and approval at the Board of Directors meeting in April prior to filing.

Form 990, Part VI, Section B, line 12C

Annual disclosure of any interests that could give rise to conflicts is documented at the Board of Directors' meeting in April. Review and approval by the Board of Directors is required for any contract or transaction involving an officer or director. Directors and officers with a potential conflict of interest are required to be removed from deliberations and discussions related to such transactions.

Form 990, Part VI, Section B, line 15

Chief Executive Officer (CEO) Compensation is subjected to two levels of review by the Board of Directors, the Executive Committee and the full Board of Directors, and is based upon comparable salary data from two independent sources the MN Council of Nonprofits Salary Survey and Guidestar Compensation Report. These deliberations are contemporaneously documented in the Board of Director minutes. The last salary review for the CEO position was conducted in 2018. Salaries and salary ranges of other key employees are determined by the Chief Executive Officer based upon comparable salary data from the Minnesota Council of Nonprofits Salary Survey. Salary reviews for positions were conducted in 2018.

Additional Explanations

Form 990, Part I, Line 1:

Established in 1895, Missions Inc. Programs is a multi-service non-profit organization with a long history of providing services to those who are most in need, each year offering thousands of men and women, whose lives have been severely disrupted by chonic addiction, homelessness, and domestic violence the opportunity to make real change in their lives. Chemical dependency services are provided through four programs, Hart House, Judy Retterath Withdrawal Management Center, Mission Lodge and Smith Lodge, and domestic violence services through the Home Free Shelter and Home Free Community Program. In 2019, there were 3,034 admissions to Missions Inc. residential programs and an additional 723 persons served through the Home Free Community Program. We are located on a 38-acre campus on the north shore of Medicine Lake in Plymouth, MN, with other sites in Plymouth and St. Paul, MN.

Form 990, Part III, Line 1:

Missions, Inc. Programs enables people struggling to meet fundamental human needs to obtain safety and healing and to pursue justice in their lives. We fulfill our mission by providing housing and health care for individuals affected by chemical dependency, violence, chronic illness or disability by advocating for societal changes that will benefit the people we serve. In all our efforts, we affirm human worth and dignity, encourage self-determination, value diversity and promote the basic rights of all individuals.

Missions, Inc. Programs holds resident savings in a separate savings account in compliance with Minnesota Rules 9500.1221, subpart 2T.

Part X, Line 2:

The Organization is a tax-exempt organization under Section 501(c)(3) of the U.S. Internal Revenue Code and corresponding provisions of State law and, accordingly is not subject to federal or state income taxes. Any unrelated business income may be subject to taxation. The Organization currently has no unrelated business income.

In 2019, the programs provided transitional housing and support services to 324 men and women. Located on the main campus of Missions Inc. in Plymouth, MN, Mission Lodge and Smith Lodge provide services for adults who are chronically chemically dependent and most often homeless. In 2019, Mission Lodge, an 87-bed facility, operated at 90% occupancy with 333 admissions and an average stay of 82 days; Smith Lodge, with 20 single and double occupancy rooms, operated at 95% occupancy, with 30 admissions and an average stay of 158 days. Hart House located in St. Paul, MN is a 24-bed facility serving women who are in recovery from chemical dependency, operated at 97% occupancy, with 61 admissions and an average stay of 161 days. The programs are designed to support each resident's achievement of their goals, the most critical being continued sobriety, as well as health and wellness, vocational training, education, employment and housing.
