Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization contracted with community management initiative, inc. ("cmi") during the tax year to perform certain day-to-day administrative services and select management operations and was led by allen ray. The contractual amount between cmi and the organization includes salary for allen ray, but the amount of salary cannot be easily separated from the amounts paid for services provided to the organization. The information used to determine the fees the organization paid to cmi include an annual fair market value of $468,000 for this role. The agreement was terminated 7/31/21.

Form 990, Part VI, Section A, Line 4

All new governing documents including articles and bylaws were re-written and filed along with form 1023. Form 1023 was filed in 2021 for a stand along 501(c)(3) removing the organization from the foundation of the elderly group exemption. Isi was also changed to a no member organization as it was previously a member organization with foundation for the elderly, inc. Being its member. Lastly, the chairperson, secretary and treasurer were designated as director roles, but the ceo and vice presidents were not.

If there are questions, the vice president of finance addresses each one by responding using the board pro application. If issues or disagreements arise, a meeting may be scheduled for the board to review.

The conflict of interest policy applies to directors, officers, employees and volunteers and is annually reviewed by board of directors and management. Employees are expected to disclose conflicts, including outside employment that may create conflicts and personal relationships with clients, business partners, etc. The board of directors then determines whether a person with a covered interest has a conflict of interest and the appropriate course of action is taken. Routine conflicts for roles with limited decision-making authority, such as a personal relationship with someone receiving services, are managed within that business unit to ensure proper safeguards.

The organization had contracted with cmi to perform ceo and other various administrative positions. The board approved the fees. The top management official was not compensated by the organization. This agreement was terminated 7/31/21. An executive team of officers was approved by the board (8/21) and included in the governing documents which includes ceo and vps admin, people, finance, operations (2). Current compensation was approved by the board. An annual executive team compensation review is in process, which will include wage studies and a process approved by the board.

Sheltered workshop and most pre-vocational services ended by late 2021. They did not continue into 2022.

FORM 990, PART XII, LINE 2C:

The board selects and engages the independent accountant. The vp of finance assumes the oversight responsibility of the audit. The ceo and vp of finance then reviewed the audit and results with the independent accountant. The final step was the independent accountant presentation to the board for acceptance and approval.

Financial Statement Notes

PART X, LINE 2:

Isi is a tax-exempt organization under section 501(c)(3) of the us internal revenue code (irc) and corresponding provisions of state law and, accordingly, is not subject to federal or state income taxes. In july 2021, management and the board of directors resolved that the organization would leave the group exemption held by the foundation for the elderly, inc. The organization filed for exempt status under us irc section 501(c)(3) with the internal revenue service on august 31, 2021 and received approval in march 2022 for the exemption to be effective as of the date of filing. In order to account for any uncertain tax positions, the organization determines whether it is more likely than not that a tax position will be sustained upon examination. If the tax position does not meet the more-likely-than-not recognition threshold, the benefit of that position is not recognized. The organization has recorded no assets or liabilities related to uncertain tax positions.
