“Sir hires an independent accounting firm to prepare the federal form 990. Upon receipt of the draft form 990, it is reviewed by the executive director and senior director of finance. A copy of the draft form 990 is then sent to the board of directors via e-mail. A period of a few days is given to the board members to address any concerns that they may have before the federal form 990 is filed with the internal revenue service.”

“The sir executive council (ec) and foundation board of directors are required to update a conflict of interest form prior to meetings of the ec and board meetings as necessary. A conflict of interest form is distributed electronically to all of the officers, members, invited guests and key employees for updating and their signature to report all potential conflicts of interests. At any meeting or occasion, a summary of all reported conflicts of interest are included in the meeting materials. Officers, members or staff with perceived or real conflicts of interest may not be permitted to vote on an action or participate in discussion where they have a conflict of interest.”

“An outside firm does a market comparison survey by job description, field (medical association), region, and size of organization as comparisons. This survey is shared with the finance committee and executive council. The executive director compensation is also included to include a look at bonus comparisons as well as fringe benefits. The executive committee does a review with the executive director annually. The last compensation review conducted for the executive director was october 2020.”
