Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization consists of a single class of member. To be a member, one must have a share/savings account.

Form 990, Part VI, Section A, Line 7A

Each member has one vote to elect the governing body.

Form 990, Part VI, Section A, Line 7B

Each member has one vote to utilize in ratifying significant decisions beyond the authority of the board as outlined in teh organizations bylaws. Any decision to dissolve or merge the organization requires approval of membership, unless mandated by regulatory agency (i.e. Ncua, wisconsin office of credit unions).

Form 990, Part VI, Section B, Line 11B

The cfo and board of directors review the form 990 at the next board meeting before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All officers and directors are required to sign a conflict of interest policy statement on an annual basis. In connection with any actual or possible reported conflict of interest, an interested person must disclose the existence of the interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing body delegated powers. After disclosure of the interest and all material facts, the interested person shall leave the governing body or committee meeting while the determination of a conflict of interest is discussed and voted upon by the remaining directors or committee members. The governing body or designated committee conducts periodic reviews to ensure that the organization does not engage in activities that could jeopardize its tax-exempt status.

Form 990, Part VI, Section B, Line 15

The board of directors approve the chief executive officer's salary. The chief executive officer approves all other officers or key employee salaries using the board approved salary budget.

Form 990, Part VI, Section C, Line 19

Financial statements are posted on the credit union website and available in the main and branch office lobbies. All other governing documents and the conflict of interest policy are available upon request.
