Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the president and a member of his staff.

Form 990, Part VI, Section B, Line 12C

The norris board of directors is informed by the executive director of any relationship related to working with an interested party. This is then discussed and the board makes a determination on whether the relationship is appropriate based on the conflict of interest policy. Direction is then given to the exec director so the relationship is managed or ended as directed. At an operational level: relations with staff and vendors are disclosed and discussed as management becomes aware of them and a determination or decision is made based on the conflict of interest policy. Employees who want to maintain more than one job are required to report to our hr department any employment obtained with another social service agency and this employment is evaluated and approval or denial provided based on the criteria in the policy. In addition, the board members sign off annually on the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

A committee of the board, headed by the president, determines the executive director's compensation. Other key employees and top management officials are determined by the executive director in discussion with the director of business & mis and the director of human resources.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.
