Mission

To be the nation's leading environmental liveral arts college. To integrate liveral arts studies with an environmental emphasis, enabling those it serves to address the challenges of the future. To create a community of engaged learners with the skills and experience to prepare for advance studies and meaningful lives and to lead the way, by academic excellence and sustainable practice, to a world where human and other biological communities can thrive together indefinitely. The sigurd olson environmental institute (soei), through coursework, internships and grant-funded projects, supports regional environmental efforts. The college has an attendance of approximately 600 students with an average of 400 residing on campus in residence halls.

Our mission is to be the nation's leading environmental liberal arts college. To provide students with a strong liberal curriculum and unique experiential learning opportunities with a focus on the environment, sustainability, and social responsibility - enabling those it serves to address the challenges of the future.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The chair of the board, vice chair, secretary, assistant secretary, president of the college, chairs of the standing committees, and not more than four other voting members of the board shall be members of the executive committee. The four other voting members shall be nominated by the trusteeship committee and elected by the board at its annual meeting. Any vacancy on the committee occurring between annual meetings of the board shall be filled by the board at its first meeting after such vacancy occurs. The committee shall have and may exercise, when the board is not in session, the powers of the board in the management of the college with the following exceptions: presidential selection and termination; trustee and board officer selection; changes in institutional mission and purpose; changes in the charter or articles of incorporation; incurring of corporate indebtedness; sale of institutional assets or tangible property; adoption of the annual budget; and conferral of degrees. The responsibility of the executive committee shall include the following. 1. To advise the president and the board on the administrative organization of the college. 2. To review senior staff appointments. 3. To coordinate planning functions with the on-campus college planning team. 4. To act on behalf of the board on emergency matters that cannot or should not be deferred to a regular or special meeting of the board. Any such action shall be subsequently cleared with the full board. 5. To monitor the performance, health, and morale of the president and make recommendations to the board concerning the continued appointment and compensation of the president. 6. To insure that the board effectively carries out its responsibilities. The committee shall: (a) monitor and coordinate the work of the committees of the board, with special reference to the preparation of agenda items for meetings of the full board; (b) promote effective communications between board committees and administration and among board committees on matters of common concern; (c) assure that board and committee meetings and supporting materials are substantive and timely; (d) work closely with the president and vice president of the college in preparing the agenda for meetings of the board. 7. To oversee the institutional planning process and progress toward goals and objectives. The committee shall receive and review preliminary findings and recommendations of institutional planning groups to obtain provisional reactions of trustees and to develop suggestions for further study or revision. 8. To perform such other duties as may be assigned by the board.

The form 990 is prepared by the college's outside public accounting firm based on information provided by management. Throughout the process, the firm and management collaborates to complete the filing. The return is then provided by management to all members of the board prior to filing.

Form 990, Part VI, Section B, Line 12C

Northland college maintains a conflict of interest policy covering it's board of trustees, officers, and management employees. The policy also covers other employees who can influence the actions of northland college. Should a conflict exist, the transaction must be fully disclosed, the person with the conflict of interest is excluded from the discussion and approval of such transaction, the transaction is reviewed through competitive bid or comparable vaulation, and the trusteeship committee must determine the transaction is in the best interest of the college. Disclosures of conflicts are made to the president or board chair with the transaction being referred to the trusteeship committee that shall determine whetehr a conflict exists and how best to proceed.

The process of determining compensation is based on outside studies of colleges with approximately the same budgets that survey the schools to determine the median pay for like positions. Compensation for all employees is compared to data obtained from independent sources to specifically include college and university professionals association (cupa) compensation scales. The process was last undertaken in 2017.
