Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has members and two classes of membership, active members and associate members. Active members consist of any national or state bank, any national or state savings and loan association or savings bank or any trust company bank, each with an office located within the state of wisconsin and doing business therein, and which shall be approved by the board of directors and pay such annual dues as may be established by the board of directors. Associate members consist of any individual, entity or governmental unit who shall apply to and be accepted for associate membership by the board of directors and shall pay such annual dues as may be established by the board of directors.

In compliance with internal revenue service governance guidelines relating to the income tax form 990, the association will provide a copy of the organization's final form 990 (including required schedules) to each voting member of the wisconsin bankers association board of directors, whether in paper or electronic form, prior to its filing with the irs. The president/ceo and vp finance & administration will review the form 990 prior to distribution to the board of directors. The board of directors then receives a draft of form 990 to review. In addition, the board of directors will be given an opportunity to comment to management on the completed form prior to filing.

Forms are re-signed annually and reviewed by the president/ceo. Any individual with a perceived or actual conflict of interest is recused from discussion and voting on the matter to which the conflict relates.

This compensation policy applies to the president/ceo of the wisconsin bankers association (wba) and includes the following annual review process. Review and approval: the compensation and benefits arrangement for the wba president/ceo is reviewed by the compensation committee, who make a recommendation to the board of directors. The board of directors ultimately approves the president/ceo compensation package. Any person with a conflict of interest regarding the compensation, such as the president/ceo, is not involved in the review and approval process. Comparable compensation data: when the compensation committee is considering annual compensation and benefits for the president/ceo, the members review data of comparable compensation in similar organizations. This data includes industry survey information from local and state non-profit associations and national banking trade associations. Documentation: the official meeting minutes of the compensation committee and the wba board of directors reflect the review process and decision regarding the compensation arrangement. The wba ceo also uses market data as well as other association surveys to establish key employee wages and benefits.

The organization is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The organization has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.

PART V, LINE 4:

The wisconsin bankers association (wba) has created three reserves that are not available for use in operations. These reserves serve as a means of ensuring adequate funding for particular needs and obligations of wba, including a primary reserve to sustain wba through an unexpected financial crisis, an opportunity reserve to provide start-up funds for new programs and business opportunities, and a capital reserve for the purchase of facilities and equipment that will assist wba and its staff to better meet the mission of wba.
