The board of directors conflict of interest review committee, made up of the msms board chair, vice chair, speaker and vice speaker, review each district director's or officer's statement of disclosure for any set of facts or circumstances that may reflect an actual, potential, or apparent conflict of interest. If a specific matter arises as to which a district director or officer has a conflict of interest or may reasonably be thought to have a conflict of interest, such person shall make clear disclosure of the conflict to the board during discussion of that matter. If the district director or officer fails to make disclosure and the chair is aware of the conflict, the chair may make disclosure. Generally, a person with a conflict may still participate in discussion of the relevant matter, however, this individual will not be allowed to vote on the issue with which there may be a conflict of interest.”

“The board of directors review the ceo's salary annually. Msms will from time to time engage an independent firm to review the ceo salary and overall salary structure. Msms will also from time to time compare its salary structure to independent salary surveys. The salary structure is updated annually based on inflation.”
