The Executive Committee, when the Board of Directors is not in session, has and may exercise all of the authority of the Board of Directors except to the extent, if any, that such powers and authority are limited by resolution of the Board of Directors and except also that the Executive Committee does not have the authority of the Board of Directors in reference to amending the Articles of Incorporation, adopting a plan of merger or consolidation, approving by resolution the sale, lease or other disposition of all or substantially all of the assets of the Corporation otherwise than in the usual and regular course of business, approving by resolution a voluntary dissolution of the Corporation or a revocation thereof, approving the compensation of the executive officers or "disqualified persons" within the meaning of the Internal Revenue Code, or amending the Bylaws of the Corporation.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy protects the interests of Two By Two when it is contemplating entering into a transaction or arrangement that might benefit the interest of an officer or director of the Organization. Any possible conflict of interest on the part of any officer or director should be disclosed to the other directors and made a matter of record either through an annual procedure or when the interest becomes a matter of board action. The individual with a conflict is asked to leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The Board of Directors will determine if the transaction is a conflict and whether or not to enter into the transaction or arrangement. Outside experts may be used, but their use does not relieve the Board of Directors of its responsibility for ensuring periodic reviews are conducted.

Part X, Line 2:

The Organization is organized as an Iowa nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be a private foundation under Section 509(a)(1). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. We have determined that the Organization is not subject to unrelated business income tax and have not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Character education is a national movement creating schools and communities that foster ethical, responsible and caring young people by modeling and teaching good character through emphasis on universal values. Two by Two's unique approach to deliver character education is weaving core values throughout daily, academic curricula. Our effective and measurable programming also includes the extraordinary, hands-on learning tool of animals and is based on 21st Century education standards - (continued on Schedule O)the skills students need to succeed in work, school and life. With these curriculums, children develop pro-social behaviors, helping them grow into empathetic, responsible, and productive citizens. Two by Two's Character Education curricula also compliments other national character organizations. Many programs provide the framework of character education, whereas Two by Two supplies the actual curriculum for teachers to use when building positive relationships. In other words, we provide the "hands-on" lessons for students and educators.Kindhearted Kids ProgramThe Kindhearted Kids Character and Humane Education Program is designed to teach ethics, values, and character formation through an exciting and memorable, multiday humane education curriculum researched and developed by elementary school teachers. Throughout the Kindhearted Kids Program, children learn to be more empathetic and respectful to all living creatures, which develop pro-social behaviors that help them grow into caring, responsible, and productive citizens.Kindhearted Kids to the Rescue ProgramTwo by Two developed a hands-on curriculum that educates our youth to be organized, responsible family members throughout a natural disaster. With character and humane education as the organization's focus, Kindhearted Kids to the Rescue plunges upper elementary students into a natural disaster driving them to make thoughtful decisions for family members and their family pet.Toolkit of CharacterThe toolkit will provide teachers with cutting edge strategies that infuse positive character traits throughout the day, EVERY DAY! By modeling and discussing what a "person of character" looks and acts like daily, student achievement will accelerate and children will make the leap from "good" to "extraordinary" children. The Toolkits of Character are separated by grade and each grade level has a character focus based on the American School Counselor Association's Standards and Benchmarks.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Organization is organized as an Iowa nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be a private foundation under Section 509(a)(1). The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. We have determined that the Organization is not subject to unrelated business income tax and have not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Any possible conflict of interest on the part of any officer or director should be disclosed to the other directors and made a matter of record either through an annual procedure or when the interest becomes a matter of board action. The individual with a conflict is asked to leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The Board of Directors will determine if the transaction is a conflict and whether or not to enter into the transaction or arrangement. Outside experts may be used, but their use does not relieve the Board of Directors of its responsibility for ensuring periodic reviews are conducted.
