United methodist retirement communities (umrc) has been a leader in caring for seniors since its faithful founding in 1906. With a tradition of exceptional quality and commitment to cutting-edge care, today umrc offers michigan's most diverse continuum of housing options and services across 12 counties to older adults of all income levels. Umrc foundation was created in 1998 as the fundraising arm supporting benevolent care for residents who have outlived their savings, as well as growth opportunities for the organization. Umrc foundation's mission is to promote the wellness, dignity, and independence of seniors by supporting the residents, staff, and communities umrc serves. The population of seniors over the age of 65 is expected to double by the year 2030, and the oldest adults, 85 years and older, will grow by 300%. The president and ceo of united methodist retirement communities (umrc), the president of the umrc foundation, the chief financial officer of umrc, and the umrc board chair shall each serve on the umrc foundation board of directors, ex-officio, with vote. The remaining directors shall be elected by the umrc foundation board of directors and appointed by the board of trustees of umrc.

Umrc foundation expects its board members and staff to conduct the business of the umrc foundation in a legal and ethical manner, observing the highest standards of integrity and business ethics. When acting on behalf of the umrc foundation, these individuals should act solely for the benefit of the umrc foundation. Each board or staff member should avoid any financial relationship or other situation which represents a conflict between the umrc foundation interests and other personal interests of the individual. The umrc foundation policy on conflict of interest is distributed annually to members of the umrc foundation board of directors, umrc foundation president, and umrc foundation administrative staff. At the time of the distribution of the policy, each person will be given the opportunity to disclose real or potential conflicts of interest, which will be kept confidential. Disclosures by board members and the president will be forwarded to the board secretary; disclosures by umrc foundation staff will be forwarded to the president. Any potential conflict of interest disclosed by a umrc foundation board member will be reviewed by the president and the umrc foundation board chair to determine what actions need to be taken and reported back to the board. Any director of the umrc foundation who becomes aware of a relationship that does, or might, constitute a conflict of interest after completing and signing this form must file an updated form.

At the end of 2015, the umrc foundation approved launching a comprehensive campaign to support umrc's master plan, the largest construction project in umrc's history. The umrc foundation was challenged to raise 26 million to support capital expansion projects, benevolent care, and life enriching programs that bring joy and healing to those we serve. In addition, the foundation continued to raise funds for staff scholarships, emergency aid for umrc staff, and grants to improve the lives of seniors in the communities umrc serves. The umrc foundation staff scholarship program is a competitive, educational enrichment program offering financial assistance to eligible umrc employees who are pursuing a certification, degree or continuing education to support their career goals. Scholarships are awarded according to the needs of the individual. The umrc foundation employee emergency aid program is designed to provide eligible umrc employees with limited assistance in times of emergency causing temporary financial hardship. Umrc foundation community granting funds are used to positively affect the lives of seniors in the communities umrc serves and should promote the mission and image of the umrc foundation. These funds do not directly support umrc programs or projects. The umrc foundation board of directors makes final approval for these grants.

The umrc foundation accounts for uncertainty in income taxes by prescribing a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined that there were no tax uncertainties that met the recognition threshold in 2017.

Schedule D, Page 4, Part XIII

Part v, line 4 - intended uses for endowment funds board designated endowment - management of umrc can request disbursements from the foundation as reimbursement for 100% of resident benevolent care expenses, 100% of development and fundraising expenses, and to support other capital and operational projects of umrc. Permanent endowments - earnings are distributed to umrc to fund the cost of benevolent care for residents.

IN ADDITION, THE FOUNDATION CONTINUED TO RAISE FUNDS FOR STAFF SCHOLARSHIPS, EMERGENCY AID FOR UMRC STAFF, AND GRANTS TO IMPROVE THE LIVES OF SENIORS IN THE COMMUNITIES UMRC SERVES. THE UMRC FOUNDATION STAFF SCHOLARSHIP PROGRAM IS A COMPETITIVE, EDUCATIONAL ENRICHMENT PROGRAM OFFERING FINANCIAL ASSISTANCE TO ELIGIBLE UMRC EMPLOYEES WHO ARE PURSUING A CERTIFICATION, DEGREE OR CONTINUING EDUCATION TO SUPPORT THEIR CAREER GOALS. SCHOLARSHIPS ARE AWARDED ACCORDING TO THE NEEDS OF THE INDIVIDUAL. THE UMRC FOUNDATION EMPLOYEE EMERGENCY AID PROGRAM IS DESIGNED TO PROVIDE ELIGIBLE UMRC EMPLOYEES WITH LIMITED ASSISTANCE IN TIMES OF EMERGENCY CAUSING TEMPORARY FINANCIAL HARDSHIP.
