Governance Explanations

Form 990, Part VI, Section A, Line 7A

The corporation shall have a board of directors that shall serve as the governing board of the corporation, which shall manage the business, property and affairs of the corporation. The mvu board of directors shall be chosen to reflect a balance between the education and private sectors who may be served or have an interest in the programs and services provided by the corporation as follows: (1) at least 5 persons representing the education sector, with an emphasis on having michigan educational leaders from appropriate educational entities with an interest in the virtual learning programs and services established by the corporation. The number of persons representing the education sector as described in this section (1) shall be balanced with a similar number of private sector persons as described in section (2). Qualified persons representing the education sector shall be drawn from michigan k-12 public schools or intermediate school districts; michigan state public universities; michigan community colleges; michigan independent nonprofit degree-granting colleges and universities; and michigan non-profit associations whose primary directive is to support michigan educational entities. (2) at least 5 persons representing the private sector, with an emphasis on having michigan business leaders with an interest in the virtual learning programs and services established by the corporation. The number of persons representing the private sector as described in this section (2) shall be balanced with a similar number of persons as described in section (1). The president/chief executive officer shall be selected by and hired by the board of directors. The position of chairperson of the board of directors shall rotate in every odd-numbered year between an individual representing educational interests and a business representative from the private sector, as both are set forth in the articles of incorporation. The first chairperson of the board of directors shall be an individual representing educational interests. Unless otherwise provided in the articles of incorporation, other officers of the corporation shall be elected by the board of directors at the annual meeting of the board of directors. If the election of officers is not held at that meeting, the election shall be held as soon as may be convenient. Each officer of the board of directors shall hold office while qualified for one year until her or her successor is named and qualifies, or until the officer resigns or is removed in the manner provided in this article.

Form 990, Part VI, Section B, Line 11B

The 990 is received by the organization's president/ceo who reviews the return for accuracy. Upon the president/ceo's approval, the 990 is made available to the board of directors in electronic format. After any concerns presented by the board are addressed, the president/ceo signs and files the return.

Form 990, Part VI, Section B, Line 12C

Each board member, officer and employee shall sign a statement that affirms such person: a) has received a copy of the conflict of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy; and d) understands mvu is a nonprofit organization and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes.

A compensation study is conducted by a third party consulting firm. The consulting firm utilizes benchmarks from national and professional survey sources from the education sector, non-profits, government, and select organizations. The recommendations for compensation are included in the annual budget which is approved by the board of directors.

PART X, LINE 2:

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed.
