All acts of such persons shall be for the best interest of the corporation. Such persons shall not accept any gift, favor, or hospitality that will influence their decisions or actions which affect the corporation. Any duality of interest or possible conflict of interest on the part of officers, administrative staff members, employees and staff members with administrative responsibilities shall be disclosed and made a matter of record through annual reporting procedures or when the interest is involved in matters for action by such persons.”
