Due to board meeting schedules, the finance committee members reviewed the form 990 on behalf of the board of directors prior to its filing. Board members are supplied with copies of the completed form 990.

Form 990, Part VI, Section B, Line 12C

Cots maintains a conflict of interest policy for all employees and board of directors members. For employees, the conflict of interest policy is signed at the time of hire and continually monitored thereafter by management through open discussion, especially for employees with the ability to enter into contracts on behalf of the organization. For the board of directors, members are required to annually disclose conflicts of interest during the annual board of directors meeting. If any conflicts of interest were to arise, the relationship and contract would be terminated.

The ceo's compensation is reviewed by the head of the personnel committee, who has expertise in employment matters, and the board president. Outside comparability data is used to ensure the ceo's compensation is reasonable for the level of complexity, size, and budget of the organization (last performed in 2013). The ceo's salary is determined by the personnel committee, based on the comparable compensation data and contemporaneously documented. Employee compensation, for those other than the ceo, is reviewed against outside data for similar positions for comparability by the ceo or coo. This process occurs bi-annually or when a new position is created (last performed in 2010). The intended use of the endowment fund is at the discretion of the board of directors depending on operational needs evaluated on an annual basis.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the organization, and has concluded that as of june 30, 2014 and 2013, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the consolidated financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to 2011.
