“The board of directors shall have an executive committee, consisting of the president, president-elect, vice president, secretary-treasurer, immediate past president, and chair. The speaker shall attend meetings of the executive committee. The executive committee shall have the authority to act on behalf of the board subject to ratification by the board at its next meeting.”

If/when disclosures are made of a conflict, the acep president ensures that such conflicts are disclosed to the board and that appropriate action is taken, including having members recused from all discussions and decisions. All employees, including officers, key employees and highest compensated employees, are required to follow a conflict of interest policy located in the organization's handbook. All potential conflicts of interest are to be submitted to staff services in written format with all facts and relationships regarding the potential conflict. If a conflict is found to exist, acep's interest is given priority and appropriate actions are decided on a case by case basis.”

“(a) board and officer compensation is reviewed annually by an independent compensation committee. The review includes comparison to other like organizations as well as looking at the annual cpi to determine if a change is appropriate for the upcoming year. Documentation of the review is kept in the finance committee's meeting minutes. (b) the executive director is provided a contract which typically extends five years. The most recent contract was july 2020. The full board of directors participates in the review of the contract and relies on outside consultants to ensure compensation is comparable to like organizations and scope of duties. The board of directors conducts a performance review annually for the executive director. Documentation of all levels of the review is kept in the meeting minutes, and the final contract is kept in the executive director's employee file.”

“Other staff, including key employees, are paid under a compensation policy which annually reviews comparable paid rates, scope of duties, location rates, etc. All staff have performance reviews annually. The review forms are discussed and signed by the employee, the direct manager and a 2nd level manager above the employee and kept in the employee's hr file.”
