Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The prepared form 990 is reviewed by the president and chief executive officer, the chief operating officer, and the director of finance before it is presented to the finance committee. After the finance committee reviews and approves the prepared form 990, it is submitted to the board of directors. After board review, the return is filed with the internal revenue service.

Form 990, Page 6, Part VI, Line 12C

The organization monitors and enforces compliance with the written conflict of interest policy by having these policies reviewed on an annual basis by the board's audit and risk management committee and appoved by the board of directors.

Form 990, Page 6, Part VI, Line 15A

There is a chief executive officer evaluation committee which conducts annual performance appraisal. That committee makes recommendations to the executive committee. The executive committee of the board of directors recommends to the board of directors the compensation of the president and chief executive officer based on the performance review provided by the chief executive officer evaluation committee and independent salary comparison data. All other salaries are set by the president and chief executive officer consistent with the compensation program and review of comparable salaries.

Form 990, Page 6, Part VI, Line 19

The organization does not make its governing documents, conflict of interest policy, or financial statements available to the public. The organization's financial documents are made available to the public by providing them to public funders.
