Governance Explanations

Form 990, Part VI, Section B, Line 11A

A copy of the form 990 was distributed to all board members prior to filing. Board members directed questions to the board chair, the executive director and the cpa. The board met to approve the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Board members complete a form to identify potential conflicts of interest. If questions arise related to a potential conflict of interest, a discussion is held at the next board meeting before any decisions are made or related activity begins. The board member with the potential conflict leaves the board meeting during the discussion.

Form 990, Part VI, Section B, Line 15

The executive committee of the board meets to discuss compensation of the executive director. During the meeting proposed compensation is compared to similarily situated employees at comparable not-for-profit organizations using salary surveys and form 990s. Discussions are documented as part of the annual budgeting process.

Form 990, Part VI, Section C, Line 19

The organizations financial statements, governing documents, and conflict of interest policy are provided upon request for business purposes as approved by the executive director.

Form 990, Part VI, Section A, Line 2

Board members dina gardner and pauline sleder are cousins.

Form 990, Part VI, Section A, Line 4

The bylaws were changed to allow the recording secretary position to be a paid member of the organizations staff. The bylaws were changed to limit the number of board members to no more than twenty-one and to require that at least fifty one percent of the directors shall be orthodox christians in good standing according to their local parish regulations and representing canonical orthodox christian churches. Additional language was added to the bylaws which reads, the board should strive for economic, professional and racial diversity. The board should strive for broad representation from the orthodox christian parishes in the region. The canonical jurisdictions of the orthodox church in the united states are those recognized as in communion with the bishops of the assembly of canonical orthodox bishops of the united states of america.

Form 990, Part VI, Section A, Line 4

Cont if the executive director of the organization is not an orthodox christian clergyman, at least one director shall be selected from the local canonical orthodox christian clergy to ensure substantive affiliation with the orthodox christian hierarchy generally and to act as a spiritual advisor to the board.

Form 990, Part VI, Section A, Line 4

Section 9 of the bylaws was changed as related to specific requirements of the executive director position to read as follows. The board will appoint an executive director for such period of time and under such terms, as it deems appropriate. The executive director of reconciliation services will be an orthodox christian in good standing according to their local parish regulations and representing an orthodox bishop who is in communion with the bishops of the assembly of canonical orthodox bishops of the united states of america. The executive director shall be responsible for the operation of reconciliation services, assuring that the daily activities will be conducted in accordance with the stated purposes and bylaws of the organization.

Form 990, Part VI, Section A, Line 4

Cont the executive director shall be accountable to the board of directors as the governing body, and, at least annually, keep his/her hierarch and the orthodox christian clergy in the region aware of the organization by means of the annual report and the results of an independent audit. In the case where the executive director is an orthodox christian clergyman then he shall serve as the spiritual advisor for the organization, even where other clergyman are directors of the board or serve on staff.
