Governance Explanations

Form 990, Part VI, Line 15 FORM 990, PART VI, LINE 15A AND 15B

The rrf does not pay any compensation, and therefore, these questions are not applicable.

Form 990, Part VI, Line 6 Classes of members or stockholders

NAR is the only member of RRF, as defined in the Form 990 instructions due to its ability to appoint the RRF Board of Directors. However, the affairs of RRF are managed by or under the direction of the RRF Board of Directors.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

NAR is the only member of RRF, as defined in the Form 990 instructions due to its ability to appoint the RRF Board of Directors. However, the affairs of RRF are managed by or under the direction of the RRF Board of Directors.

Form 990, Part VI, Line 12C Conflict of interest policy

Each year the Conflict of Interest policy is distributed to the current Officers and Directors. These individuals are asked to disclose any current or potential conflicts. In addition, on an annual basis, they receive an questionnaire designed to determine if there are conflict issues that need to be addressed by the governing body or reported on the IRS Form 990. Any potential or actual conflicts of interest are reviewed and evaluated initially by the RRF Board, then by the NAR Legal Department and followed up on by the NAR General Counsel. After hearing the findings of the General Counsel, the RRF Board of Directors determine the appropriate steps to alleviate, monitor and deal with conflicts, such as restricting the actions of persons with a conflict by prohibiting them from participating in the governing body's deliberations and decisions for a particular transaction.

Form 990, Part VI, Line 19 Required documents available to the public

The organization makes its governing documents and financial statements available to the public on a case by case basis upon request. Conflict of interest policies are available upon request at any time.

Form 990, Part VII, Section A, Line 1A Part VII, Section A, Line 1A

The Treasury/Secretary does not receive any compensation for services provided or related to RRF. All compensation disclosed in Part VII for Sue Losczyk represent payments from NAR only for services provided to NAR.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Foundation follows guidance issued by the Financial Accounting Standards Board (FASB) with respect to accounting for uncertainty in income taxes. A tax position is recognized as a benefit only if it is more likely than not that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more likely than not test, no tax benefit is recorded. The Foundation recognizes interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. The Foundation has no amounts accrued for interest or penalties as of December 31, 2014 and 2013. Due to its tax-exempt status, the Foundation is not subject to U.S. federal income tax or state income tax. The Foundation is no longer subject to examination by U.S. federal or state taxing authorities for years ending before December 31, 2011. The Foundation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Foundation follows guidance issued by the Financial Accounting Standards Board (FASB) with respect to accounting for uncertainty in income taxes.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2NAR is the only member of RRF, as defined in the Form 990 instructions due to its ability to appoint the RRF Board of Directors. However, the affairs of RRF are managed by or under the direction of the RRF Board of Directors.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3Each year the Conflict of Interest policy is distributed to the current Officers and Directors.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4The organization makes its governing documents and financial statements available to the public on a case by case basis upon request. Conflict of interest policies are available upon request at any time.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5The Treasury/Secretary does not receive any compensation for services provided or related to RRF. All compensation disclosed in Part VII for Sue Losczyk represent payments from NAR only for services provided to NAR.
