Governance Explanations

Form 990, Part VI, Section A, line 2

Joey Wise, a member of the AUSL Board of Directors, is also Co-Founder and Chairman of the Board of Distinctive Schools. In May 2025, AUSL entered into an agreement with Distinctive Schools to recruit and train up to nine residents for the 2025-2026 school year.

Form 990, Part VI, Section B, line 11B

The final draft of the Form 990 is reviewed by the Executive Director and the Director of Finance. The Finance Committee reviews and provides comments. A final copy is distributed electronically to each member of the Board of Directors.

Form 990, Part VI, Section B, line 12C

All employees and board members are required to complete a conflict of interest statement which is reviewed for conflicts. Annually, employees and board members are asked to sign a new form to ensure compliance. Any conflicts will be dealt with according to procedure.

Form 990, Part VI, Section B, line 15

Executive Director, along with all staff members' compensation levels are reviewed annually. Periodically, compensation is benchmarked relative to equivalent positions in similar non-profit education organizations as well as in urban school districts. A compensation survey is also used. All salary increases are approved by the Executive and Finance Committees during the annual budget and year-end close process.

Form 990, Part VI, Section C, line 19

The AUSL governing documents, conflict of interest policy and financial statements are available upon request.

Additional Explanations

Form 990, Part III, line 3

Advisory Services - Through its Advisory Services and the LiberatED Way approach, AUSL supports forwardthinking school and systems-level leaders to authentically partner with their school communities in defining, calibrating on, and implementing a student-centered experience that leads to wholechild success. AUSL provided services that include strategic consulting with district leaders alongside a variety of job-embedded professional learning experiences for the district and school-based talent that are coherently aligned to AUSL's purpose and value proposition. Specific project focus areas included, but were not limited to, establishment of foundational school structures for culture and instruction, development of strategies that foster authentic family and community partnerships, and implementation of robust and aligned teacher development systems. During the year ending June 30, 2025, AUSL suspended its Advisory Services, including its LiberatED Way programming. While this programming was not directly funded by the terminated federal grants, the loss of significant federal revenue at the organizational level required AUSL to reallocate resources and prioritize its core mission of training teachers and supporting high-quality educators through the teacher residency program.

Form 990, Part XI, line 9:

Net losses from uncollectible pledges -14,087.

Form 990, Part XII, Line 2C:

The Organization has a Board that assumes responsibility for oversight of the audit of the financial statements and the selection of the independent auditors.

Financial Statement Notes

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. As of June 30, 2025 AUSL had no uncertain tax positions that qualify for recognition or disclosure in the financial statements.

Part XI, Line 2D - Other Adjustments:

Expenses relating to fundraising events and gaming netted against revenue 3,616.

Part XII, Line 2D - Other Adjustments:

Expenses relating to fundraising events and gaming netted against revenue 3,616. Net losses from uncollectible pledges 14,087.

IRS990/Desc0Teacher Development - AUSL created the Chicago Teacher Residency (CTR) program, which is a partnership between AUSL, Chicago Public Schools (CPS), and DePaul University. This nationally recognized program recruits and trains teachers with the long-term passion and skillset to serve in under-resourced communities and improve educational outcomes for students. In the fiscal year ended June 30, 2025, the CTR graduated 105 resident teachers, a 44% increase from the prior year. The program is a year-long resident teacher training program that combines a master's degree and significant classroom experience under the guidance of a trained and experienced mentor teacher. The residents receive intensive practice and individualized coaching while spending four days a week in CPS classrooms, observing and practicing the skills and strategies necessary to be an effective teacher. The CTR model also engages residents in graduate-level coursework to earn a master's degree with DePaul University. The graduates of the CTR have training and experience that far exceeds that of traditionally trained teachers and are uniquely prepared to transform student outcomes through teaching. As of June 30, 2025, AUSL has graduated 1,549 resident teachers. In the fiscal year ended June 30, 2025, the CTR graduated 105 resident teachers, a 44% increase from the prior year. During the year ended June 30, 2025, AUSL established the Lake County Teacher Residency (LCTR) in Lake County, IL, using donor-restricted funds. The LCTR mirrors the CTR model, providing the same year-long residency, graduate-level coursework through DePaul University, intensive classroom experience, and mentorship. As part of the program's launch, AUSL recruited and enrolled a class of 20 resident teachers who began training in schools in Round Lake, North Chicago, and Waukegan in August 2025.
