Governance Explanations

Form 990, Part VI, Section A, line 2

Katie Mulcahy, a member of the Board of Directors, is the daughter of the Chairman Emeritus, Thomas Owens. Dan Ryan and David Ryan are brothers and are both members of the Board of Directors.

Form 990, Part VI, Section A, line 4

The bylaws were amended to include the following: The Chairman Emeritus shall be a member of the Board of Directors. The Chairman Emeritus shall provide advice and counsel to the Chairman of the Board and to the President and other officers of the Corporation, and shall, in addition, have such further powers and perform such further duties as the Board of Directors may, from time to time, assign or delegate to him. To be eligible to be appointed as a Chairman Emeritus, such person must have been one of the founding directors and have served as the Chairman of the Board for no less than six (6) consecutive years. Any Chairman Emeritus shall be a voting member of the Board of Directors and a member of Executive Committee. The term of office for this position shall be three (3) years.

The return was reviewed by the President and CEO as well as the Treasurer after an extensive review by the CFO and Controller. The 990 was be provided to the Board of Directors prior to filing.

At the start of each board meeting Directors are asked if there are any new conflicts to report. They are encouraged to report conflicts as they occur.

The Compensation Committee of the Board of Directors reviews and approves the salary of the President of the Organization and compares it to other Chicago area not for profit organizations. Salaries of other staff members are regularly reviewed and compared to other not for profit organizations for fairness and competitiveness.

Number of Employees - The number of employees reported on Form 990 includes 315 2014 W-2s from payroll of TCP Staffing, LLC (FEIN 38-3859756) and 22 2014 W-2s from payroll of Cleanslate Chicago, LLC (FEIN 20-4914943). Both are single member LLCs and disregarded entities of The Cara Program.

Part X, Line 2:

FIN 48 note from Audited Financial Statements The Cara Program was granted an exemption from federal income taxes by the Internal Revenue Service pursuant to the provisions of Internal Revenue Code Section 501(c)(3). The tax exempt purpose of the Organization and the nature in which it operates is described in the first paragraph of Note 1. The Organization continues to operate in compliance with its tax exempt purpose. Cleanslate Chicago, LLC and TCP Staffing, LLC are Limited Liability Companies. For tax purposes, they are treated as a disregarded entities and are included in Cara's financial statements and tax reporting. The Organizations' annual information and income tax returns filed with the federal and state governments are subject to examination for the years ending June 30, 2012 through 2015.
